ORIGINAL <br />AGREEMENT FOR PROFESSIONAL SERVICES <br />(Public Relations Services for Silicon Valley Clean Water) <br />THIS AGREEMENT is made and entered into as of the S� day of <br />2019, by and between the CITY OF REDWOOD CITY, a charter <br />city 5ndynunicipal corporation of the State of California ("City"), and SILICON VALLEY <br />CLEAN WATER, a joint powers authority ("Authority") (collectively referred to as the <br />"Parties" or individually as a "Party"). <br />RECITALS <br />A. Authority requires public relations services. <br />B. City has the necessary experience and staff available to provide these <br />services. <br />C. This contractual agreement is intended to achieve an effective and efficient <br />delivery of service to the benefit of both Parties. <br />D. City has submitted a proposal to Authority and has affirmed its willingness <br />and ability to perform such work. <br />NOW, THEREFORE, in consideration of these recitals and the mutual covenants <br />contained herein, the Parties agree as follows: <br />1. Scope of Work. Authority retains City to perform, and City agrees to render, those <br />services (the "Services") that are defined in attached Exhibit "A," which is incorporated <br />herein by reference. In the event of a conflict between the provisions of Exhibit "A" and <br />the terms of this Agreement, the terms of this Agreement shall prevail. <br />2. Standard of Performance. While performing the Services, City will exercise <br />reasonable professional care and will use reasonable diligence and best judgment while <br />exercising its professional skill and expertise. <br />3. Term. Unless earlier terminated, the term of this Agreement will commence upon <br />June 1, 2019, and shall expire on June 1, 2022. The City and Authority may amend and/or <br />extend the Agreement. Extensions will be based upon a satisfactory review of City's <br />performance, City's ability to continue to provide services, Authority's needs, and <br />appropriation of funds by the Authority. The Parties will prepare a written amendment <br />indicating the effective date and length of the extended Agreement. <br />4. Schedule. City shall perform tasks within agreed-upon schedules, with specific <br />timelines and deliverables described in Exhibit A, as well as other mutually agreed-upon <br />schedules, provided, that Authority shall grant reasonable extensions of time for the <br />performance of such services occasioned by governmental reviews of City's work product <br />ATTY/AGR/2019.188/SILICON VALLEY CLEAN WATER <br />REV: 06-28-19 PR <br />Page 1 of 10 <br />
