02/09/2015 <br /> ORIGINAL <br /> RESOLUTION NO. 15391 <br /> RESOLUTION OF THE CITY COUNCIL OF THE CITY OF REDWOOD <br /> CITY APPOINTING CONSULTANTS, PROVIDING AUTHORIZATION TO <br /> ENTER INTO CONTRACTS AND DIRECTING STAFF TO TAKE <br /> CERTAIN ACTIONS IN CONNECTION WITH THE REFUNDING OF <br /> OUTSTANDING PUBLIC FINANCING AUTHORITY WATER REVENUE <br /> BONDS, SERIES 2006A <br /> WHEREAS, the City of Redwood City (the "City") wishes to cause the City of <br /> Redwood City Public Financing Authority (the "Authority") to issue water revenue bonds <br /> (the "2015 Bonds") for the purpose of refinancing the outstanding City of Redwood City <br /> Public Financing Authority Water Revenue Bonds, Series 2006A (the "2006 Bonds") <br /> and the City's installment payment obligation related to the 2006 Bonds; and <br /> WHEREAS, the City Council desires to appoint William Euphrat Municipal <br /> Finance, Inc., San Francisco, California, as municipal advisor for the public offering of <br /> the 2015 Bonds; and <br /> WHEREAS, the City Council desires to appoint Jones Hall, A Professional Law <br /> Corporation, San Francisco, California, as bond counsel for the public offering of the <br /> 2015 Bonds; and <br /> WHEREAS, the City Council desires to appoint Quint & Thimmig LLP, San <br /> Francisco, California, as disclosure counsel for the public offering of the 2015 Bonds; <br /> and <br /> WHEREAS, the City Council wishes to direct City staff to prepare all necessary <br /> proceedings and documentation for the proposed refinancing; <br /> NOW, THEREFORE, BE IT RESOLVED by the City Council of the City of <br /> Redwood City as follows: <br /> Section 1. The above recitals are true and correct. <br /> Section 2. The City Council hereby acknowledges receipt of the proposal of the <br /> firm of William Euphrat Municipal Finance, Inc. to act as municipal advisor to the City in <br /> connection with the issuance of the 2015 Bonds. The City Council hereby authorizes <br /> and directs the Director of Finance to execute and deliver an agreement with said firm <br /> for its services; provided that: (a) the agreement is consistent with said firm's proposal <br /> heretofore submitted to the City and contains terms (including those regarding <br /> compensation) no less favorable to the City than as set forth in such proposal, and (b) <br /> any and all compensation to such firm under the agreement is payable solely from the <br /> proceeds of the 2015 Bonds. <br /> ATTY/RES0.3049/CC RESO WATER REFUNDING RESO.#15391 <br /> REV:01-27-15 PT MUFF#505 <br /> Page 1 of 2 <br />
