<br />ORIGINAL <br /> <br />AGREEMENT FOR MARKETING AND PROMOTIONAL SERVICES <br />Latino Leadership Council of San Mateo County <br /> <br />M THIS AGREEMENT is made and entered into as of the ~ day of <br />'/YE/IV!F// ,2007, by and between the REDWOOD CITY <br />REDEVELOPMENT AGENCY, a public body, corporate and politic, duly organized and <br />existing under the laws of the State of California ("Agency"), and Latino Leadership <br />Council of San Mateo County, a partnership ("Consultant") (collectively, the "Parties"). <br /> <br />WHEREAS, the International Latino Film Festival, the worlds most largest and <br />respected film festival, brings over 100,000 attendees to the Bay Area cities. <br /> <br />WHEREAS, the 11th International Latino Film Festival has scheduled the Closing <br />Day Gala in Downtown Redwood City on November 18,2007. <br /> <br />WHEREAS, the film festival gives the City of Redwood City the opportunity to <br />support the Revitalization Strategy to promote Downtown Redwood City as an <br />entertainment destination. <br /> <br />RECITALS <br /> <br />A. Agency requires the promotional and marketing services of the Latino <br />Leadership Council to promote the Latino Film Festival. <br /> <br />B. Consultant has the necessary experience in providing professional <br />services and advice related to marketing and promotions. <br /> <br />C. Selection of Consultant is expected to achieve the desired results in an <br />expedited fashion. <br /> <br />D. Consultant has submitted a proposal to Agency and has affirmed its <br />willingness and ability to perform such work. <br /> <br />NOW, THEREFORE, in consideration of these recitals and the mutual covenants <br />contained herein, the Parties agree as follows: <br /> <br />1. Scope of Work. Agency retains Consultant to perform, and Consultant agrees to <br />render, those services (the "Services") that are defined in attached Exhibit "A," which is <br />incorporated by this reference in accordance with this Agreement's terms and <br />conditions. <br /> <br />2. Standard of Performance. While performing the Services, Consultant will <br />exercise the reasonable professional care and skill customarily exercised by reputable <br />members of Consultant's profession practicing in the Metropolitan Northern California <br /> <br />ATTY/AGR/2007.095 <br />102407 <br /> <br />1 <br />
