TEMPORARY STAFFING SERVICES AGREEMENT (CathyJon Enterprises, Inc., dba HB Staffing) This Agreement is made and entered into between the City of Redwood City ("City"), a municipal corporation, and CathyJo Enterprises, Inc., dba HB Staffing, a California corporation, ("Contractor") as _ day o� 2020 (the "Effective Date"). RECITALS A. City requires the services of a temporary staffing company to provide on-call temporary administrative and clerical staff to assist the City's Community Development and Transportation Department. B. Contractor has the necessary experience in providing such services. C. Selection of Contractor is expected to achieve the desired results in an expedited fashion. D. Contractor has submitted a proposal to City and has affirmed its willingness and ability to perform such work. NOW, THEREFORE, in consideration of these recitals and the mutual covenants contained herein, the Parties agree as follows: 1. Scone of Work. Subject to the terms and conditions of this Agreement, Contractor shall provide those services described in Exhibits A and B and incorporated herein by reference. In summary, the scope of services includes but is not limited to on call temporary administrative and clerical staffing services Services will be authorized by City, as needed, with a task order assigned and approved by the City's Community Development and Transportation Director or their designee. Each task order will designate a City Project Manager and will contain a specific scope of work, a specific schedule of performance, and a specific compensation amount. The total price of all task orders may not exceed the amount of compensation set forth in Section 2 below. Contractor will only be compensated for work performed under an authorized task order, which will be in substantially the same form as attached Exhibit A-1. 2. Payment Terms. For the services described in Exhibits A and B, the City agrees to pay Contractor a total amount that shall not exceed One Hundred Thousand dollars ($100,000), which amount shall include all expenses. Contractor shall submit invoices on a monthly basis, if applicable. The payment made to Contractor pursuant to this Agreement shall be the full and complete compensation to which Contractor is entitled. City's obligation to pay compensation to Contractor as provided herein is contingent upon Contractor's compliance with the terms and conditions of this Agreement. Contractor's invoice shall include the following information for the project: a brief description of services performed, the date the services were performed, the number of hours spent and by whom, a brief description of any costs incurred, percent completion to date of each task and subtask, total of prior billings, amount for billing period, total billing to date. In no event shall Contractor submit any invoice for an amount in excess of the maximum amount of compensation provided for in this section.
