ORIGINAL <br />PILOT PROJECT AGREEMENT <br />(Bioforcetech) <br />This Agreement for a pilot project to use Biochar as a soil amendment in <br />landscaping test plats (the "Agreement") is made and entered into between the City of <br />Redwood City, a charter city and municipal corporation of the State of California ("City"), <br />and Bioforcetech, a Delaware corporation with a registered address of 1400 Radio Road, <br />Redwood City, CA 94065 ("Vendor") (collectively the "parties") as of <br />o l � 23 20Z,o (the "Effective Date"). <br />RECITALS <br />A. Vendor is using pyrolysis to create Biochar out of Biosolids to be used as a <br />soil amendment. <br />B. Through a one (1) year pilot project between City and Vendor, City will allow <br />Vendor to use Vendor's Biochar soil amendment in designated landscaping test plats in <br />the City where human interaction with the soil is limited. City desires to contract with <br />Vendor to perform the Services as defined herein and as described in Exhibit A of this <br />Agreement, which is attached and incorporated herein by reference. <br />C. Vendor warrants to City that it has the qualifications, experience, and <br />certification to safely perform the services under this Agreement, and Vendor has <br />received authorization from the California Department of Food and Agriculture to sell <br />Biochar. A copy of Vendor's California Department of Food and Agriculture license is <br />attached as Exhibit B and incorporated herein by reference. <br />AGREEMENT <br />In consideration of the above recitals and the following covenants, terms, and conditions, <br />City and Vendor agree as follows: <br />1. Definitions. For purposes of this Agreement, the following definitions apply: <br />1.1 "Agreement" is defined in the opening paragraph. <br />1.2 "Biochar" is charcoal used as a soil amendment. Biochar is a stable <br />solid, rich in carbon, and is made from Biosolids via pyrolysis. <br />1.3 "Biosolids" is non -hazardous (as the term "hazardous" is defined by <br />applicable state or federal regulations and regulatory agencies with jurisdiction <br />over such matters) anaerobically digested and dewatered wastewater solid <br />residues, including grit combined with or separated therefrom, generated at Silicon <br />Valley Clean Water's treatment plant that conforms to the Class B pathogen <br />requirements for land application established by Part 503 (Standards for the Use <br />or Disposal of Sewage Sludge), Title 40, Code of Federal Regulations. <br />REV: 12-20-19 PR 1PIIi <br />
