<br />FUNDING AGREEMENT BETWEEN <br />CITY/COUNTY ASSOCIATION OF GOVERNMENTS <br />AND THE CITY OF REDWOOD CITY <br /> <br />This Agreement entered this ~~ Day o~~ 200~ ~';'d between the <br />CITY/COUNTY ASSOCIATION OF GO ME TS OF SAN MATEO COUNTY, a <br />joint powers agency formed for the purpose of preparation, adoption and monitoring of a <br />variety of county-wide state-mandated plans, hereinafter called "C/CAG" and the City of <br />Redwood City, hereinafter called "CITY." <br /> <br />WITNESSETH <br /> <br />WHEREAS, funded through Assembly Bill 1546 (ABI546), C/CAG has established a <br />Countywide Traffic Congestion Management Program for Intelligent Transportation <br />System (ITS) projects including signal controller and video detection upgrades; and <br /> <br />WHEREAS, the CITY was awarded $64,000 to upgrade signal controllers at four (4) <br />project locations; and <br /> <br />WHEREAS, the CITY has until December 31, 2008 to complete the projects; and <br /> <br />NOW, THEREFORE, IT IS HEREBY AGREED by the parties as follows: <br /> <br />1. Payments. Upon receipt of letter and backup information from the CITY <br />indicating that the projects are completed, C/CAG shall make payment to the <br />CITY on a reimbursement basis for actual construction costs incurred in an <br />amount up to sixty-four thousand dollars ($64,000). <br /> <br />2. Non-Assignability. CITY shall not assign this Agreement or any portion thereof <br />to a third party without the prior written consent of C/CAG, and any attempted <br />assignment without such prior written consent in violation of this Section <br />automatically shall terminate this Agreement. <br /> <br />17. Contract Term. This Agreement shall be in effect as otJ~U.A'RJf c2....3> ,20J <br />and shall terminate on June 30, 2009; provided, however, the C/CAG Chairper~n <br />may terminate this Agreement at any time for any reason by providing 30 days' <br />notice to CITY. Termination to be effective on the date specified in the notice. In <br />the event of termination under this paragraph. <br /> <br />18. Governing Law. This Agreement shall be governed by the laws of the State of <br />California and any suit or action initiated by either party shall be brought in the <br />County of San Mateo, California. <br />
