<br />ORIGINAL <br /> <br />AGREEMENT BETWEEN THE CITY OF REDWOOD CITY <br />AND JOINT VENTURE: SILICON V ALLEY NETWORK FOR GOVERNMENT <br />OPERATIONS GREENHOUSE GAS EMISSIONS INVENTORY ASSISTANCE <br /> <br />This contract is dated for identification this L day of 4#~/L ,3tfi'; and is <br />made by and between the City of Redwood City a California a Charter City and <br />municipal corporation, whose address is 1017 Middlefield Rd, Redwood City, CA 94063 <br />(hereinafter "CITY"), and JOINT VENTURE: SILICON V ALLEY NETWORK, whose <br />address is 84 West Santa Clara Street, Suite 440, San Jose, California 94113 (hereinafter <br />"JOINT VENTURE"). <br /> <br />RECITALS <br /> <br />A. CITY desires to retain the services of JOINT VENTURE to provide <br />government operations emissions greenhouse gas inventory assistance. <br /> <br />B. JOINT VENTURE is a qualified professional organization capable of <br />providing the certain professional services which CITY seeks. <br /> <br />NOW, THEREFORE, in consideration of the recitals and mutual promises <br />contained herein, CITY does hereby engage JOINT VENTURE, and JOINT VENTURE <br />agrees, to perform the services set forth herein in accordance with the following terms <br />and conditions: <br /> <br />1. Description of Services. JOINT VENTURE shall provide the following <br />serVIces: <br /> <br />JOINT VENTURE shall provide the services set forth within Exhibit A, <br />attached hereto and incorporated herein. <br /> <br />2. Schedule and Term. The schedule for performing said services as described <br />in the attached proposal from JOINT VENTURE and incorporated herein as Exhibit A: <br /> <br />JOINT VENTURE shall commence work under this contract upon execution <br />of the contract and shall complete all work under this contract no later than <br />December 31, 2009. <br /> <br />3. Compensation. Total compensation to JOINT VENTURE for providing the <br />services set forth herein shall not exceed (including reimbursed expenses) Thirteen <br />Thousand Dollars ($13,000.00). <br /> <br />-1- <br />
