<br />ORIGINAL <br /> <br />AGREEMENT FOR INFORMATION TECHNOLOGY SUPPORT BETWEEN <br />THE CITY OF REDWOOD CITY AND THE CITY OF EAST PALO ALTO <br /> <br />THIS AGREEMENT is made and entered into this -i-day of -.ilU4-, 2008, by and <br /> <br /> <br />between the CITY OF REDWOOD CITY, hereinafter referred to as "R~and EAST PALO <br /> <br />ALTO, hereinafter referred to as "EPA," and collectively herein called the "Parties." <br /> <br />RECITALS <br /> <br />This Agreement is entered into with reference to the following facts and circumstances: <br />WHEREAS, on August 16, 2007, the Parties entered into an Information Technology <br />Support agreement that became effective on September 1, 2007, for a term through June 30, <br />2008, and was renewable on a year-to-year basis for each fiscal year from July 1 through June <br />30; and <br /> <br />WHEREAS, EPA desires to engage RWC to render certain Information Technology <br />services to EPA related to carrying on the day to day technology related operations of EPA; and <br />WHEREAS, RWC is qualified to provide such services to EPA; and <br />WHEREAS, EPA has elected to engage the services of RWC upon the terms and <br />conditions as hereinafter set forth. <br /> <br />TERMS AND CONDITIONS <br /> <br />1. Services. <br /> <br />The services to be performed by RWC under this Agreement shall include those <br />services set forth in Exhibit A, which is by this reference incorporated herein and made a part <br />hereof as though it were fully set forth herein. <br />Performance of the work specified in said Exhibit A is hereby made an obligation of <br />RWC under this Agreement, subject to any changes that may be made subsequently hereto upon <br />the mutual written agreement of said Parties. <br />Where in conflict, the terms of this Agreement supersede and prevail over any terms <br />A TTY/AGR/2008.042 <br />061008 <br /> <br />1 <br />
