<br />ORIGINAL <br /> <br />AGREEMENT <br /> <br />PROFESSIONAL CONSULTING SERVICES <br />Communication and Educational Information Support <br />Data Instincts <br /> <br />THIS AGREEMENT, made and entered into this 4 day of <br />2008, by and between the CITY OF REDWOOD CITY, a charter city <br />corporation of the State of California ("City"), and DATA INSTINCTS <br />California ("Consultant") (collectively, the "Parties"). <br />WITNESSETH: <br />WHEREAS, City requires the professional services of a consultant that is <br />experienced in providing information to the public about the possible effects of the two <br />proposed City of Redwood City Charter amendments to be voted upon by the electorate <br />of Redwood City on November 4, 2008; (the "Project"); and <br />WHEREAS, the informational services to be provided by Consultant will be to <br />develop information authorized by the constitution or laws of California and which <br />constitutes a fair and relevant presentation of facts to aid the electorate in reaching an <br />informed judgment regarding the two ballot measures; and <br />WHEREAS, Consultant represents that it possesses the experience, and IS <br />qualified to perform the aforesaid services for the Project. <br />NOW, THEREFORE, the Parties hereto agree as follows: <br />1. CONSULTANT'S SERVICES. Consultant shall only perform consulting <br /> <br /> <br />d municipal <br />of Windsor, <br /> <br />services described as in Exhibit "A" hereof, attached hereto and by this reference <br />incorporated herein. <br />2. COMPENSATION: EXPENSES: PAYMENT. City shall compensate <br />Consultant for all services performed by Consultant hereunder in an amount based <br />upon Consultant's hourly rates set forth in Exhibit "B" hereof, attached hereto and by <br />this reference incorporated herein. <br />Notwithstanding the foregoing, the combined total of compensation and costs <br />payable hereunder shall not exceed the sum of sixty thousand and no/100 dollars <br />($60,000.00) unless the performance of services and/or reimbursement of costs and <br />expenses in excess of said amounts have been approved in advance of performing <br /> <br />A TTY/AGR/2008.071 <br />080708 <br />
