<br />I. .. , <br /> <br />ORIGINAL <br /> <br />SERVICES AGREEMENT <br /> <br />This Services Agreement ("Agreement") is entered into by and between Silicon Valley <br />Community Foundation, a California nonprofit public benefit corporation (the <br />"Foundation") and CITY OF REDWOOD CITY, a charter city and municipal corporation <br />of the State of California ("Contractor") as of the date indicated below. <br /> <br />1. DUTIES <br /> <br />During the term of this Agreement, Contractor will perform services for the Foundation <br />as described in Exhibit A ("Services"), which is incorporated into this Agreement by <br />reference. Contractor will use Contractor's best efforts to perform the Services in a <br />manner satisfactory to the Foundation and will devote the amount of time reasonably <br />necessary to perform the Services. Contractor will make all revisions to the work <br />product that the Foundation reasonably requires. Contractor will provide status reports <br />and any other information or documentation upon request. Contractor will determine the <br />method, details and means of performing the Services. Contractor maintains <br />Contractor's own place of business and may perform the Services at its place of <br />business or at any other location of Contractor's choosing, except to the extent the <br />nature of the Services requires that they be performed in the Foundation's offices. <br /> <br />2. COMPENSATION <br /> <br />The Foundation will pay Contractor for the Services as described in Exhibit A. <br /> <br />3. EXPENSES <br /> <br />The Foundation will reimburse Contractor for any reasonable and necessary out-of- <br />pocket expenses that Contractor incurs in connection with the Services (other than <br />expenses incurred in traveling to and from the Foundation's offices). As a condition of <br />reimbursement, Contractor must submit to the Foundation reasonable evidence that the <br />amount involved was expended and related to the Services. All expenses in excess of <br />$250 or that involve travel must be pre-approved by the Foundation in advance. <br /> <br />4. TERM AND TERMINATION <br /> <br />The term of this Agreement will commence upon the execution of this Agreement by <br />both Contractor and the Foundation and will expire on the termination date indicated in <br />Exhibit A. Either party may terminate this Agreement at any time on 15 days written <br />notice. If Contractor or any of its officers, employees, agents or representatives is <br />convicted of a crime, commits serious misconduct in connection with the Services, or <br />materially breaches this Agreement, the Foundation may terminate this Agreement <br />immediately without 15 days notice by giving written notification to Contractor. <br /> <br />The term of this Agreement may be extended by written amendment to this Agreement, <br />executed by both parties. <br /> <br />Page 1 of 8 <br />
