ORIGINAL AGREEMENT PROFESSIONAL CONSULTING SERVICES Communication and Educational Information Support Data Instincts THIS AGREEMENT, made and entered into this 1fl- day of 2009, by and between the CITY OF REDWOOD CITY, a charter city and municipal corporation of the State of California ("City"), and DATA INSTINCTS of Windsor, California ("Consultant") (collectively, the "Parties"). WIT N E SSE T H: WHEREAS, City requires the professional services of a consultant that is experienced in providing information to the public about development applications, specifically the proposed Redwood City Saltworks project; (the "Project"); and WHEREAS, the informational services to be provided by Consultant will be to develop public relations, media relations and website development, as well as facilitate public outreach and manage the flow of information associated with the Project; and WHEREAS, Consultant represents that it possesses the experience, and is qualified to perform the aforesaid services for the Project. NOW, THEREFORE, the Parties hereto agree as follows: 1. CONSULTANT'S SERVICES. Consultant shall only perform consulting services described as in Exhibit "A" hereof, attached hereto and by this reference incorporated herein. 2. COMPENSATION; EXPENSES; PAYMENT. City shall compensate Consultant for all services performed by Consultant hereunder in an amount based upon Consultant's hourly rates set forth in Exhibit "B" hereof, attached hereto and by this reference incorporated herein. Notwithstanding the foregoing, the combined total of compensation and costs payable hereunder shall not exceed the sum of Fifty Nine Thousand Five Hundred and no/100 dollars ($59,500.00) unless the performance of services and/or reimbursement of costs and expenses in excess of said amounts have been approved in advance of performing such services or incurring such costs and expenses by the City, evidenced by written authorization.
