<br />LEGAL SERVICES REIMBURSEMENT AGREEMENT <br />BETWEEN <br />THE CITY OF REDWOOD CITY <br />AND <br />REDWOOD CITY INDUSTRIAL SAL TWORKS, L.L.C. <br /> <br />THIS LEGAL SERVICES REIMBURSEMENT AGREEMENT ("Agreement") is made <br />and entered in the County of San Mateo on the 11- day of I\U(\})~t-, 2009 by and between the <br />CITY OF REDWOOD CITY, a charter city and California municipal corporation ("City"), and <br />REDWOOD CITY INDUSTRIAL SAL TWORKS, L.L.C., a California limited liability company <br />("Developer") (collectively, the "Parties"). <br /> <br />RECITALS <br /> <br />A. Developer has a legal and/or equitable interest in approximately 1,433 contiguous <br />acres of real property located within the City, east of Seaport Boulevard and north ofUS-101, as <br />depicted in the attached Exhibit A, and as more particularly described in the attached Exhibit B <br />(the "Property"). <br /> <br />B. On May 19, 2009 Developer submitted an application (the "Application") to City <br />for certain land use entitlements necessary to develop the Property as a mixed-use, transit- <br />oriented sustainable community ("Project"). The Application requests the following land use <br />entitlements necessary for the Project: a general plan amendment, a rezoning, a specific plan, <br />and a development agreement (the "Project Entitlements"). <br /> <br />C. The City is required under the California Environmental Quality Act (Public <br />Resources Code S 21000 et seq.) to prepare and certify, prior to any approval of the Project <br />Entitlements, an environmental impact report that assesses the potential environmental impacts <br />of, and alternatives to, the Project (the "EIR"). <br /> <br />D. City has requested Developer, and Developer agrees as set forth herein, to fund <br />the fees and costs of special legal counsel to be retained by City to assist the City in its <br />preparation of the EIR and evaluation of the Project Entitlements. <br /> <br />AGREEMENT <br /> <br />ARTICLE 1. EFFECTIVE DATE AND TERM <br /> <br />Section 1.01. Effective Date. This Agreement becomes effective on the date this <br />Agreement is fully executed by the Parties (the "Effective Date"). <br /> <br />Section 1.02. Term. The term of this Agreement (the "Term") begins on the Effective <br />Date and, unless otherwise agreed to by the Parties or terminated in accordance with the <br />provisions of Section 3. 06 below, shall continue until December 31, 2011. <br /> <br />ARTICLE 2.
