SOFTWARE AGREEMENT <br />FOR AN AUTOMATED PERMIT AND LAND MANAGEMENT SYSTEM <br />(Camino Technology Solutions, Inc.) <br />This Agreement for a web -based permit and license management system (the <br />"Agreement") is made and entered into between the City of Redwood City ("City"), a <br />charter city and municipal corporation, and Camino Technologies, Inc., a Delaware <br />corporation doing business in California as Camino Technology Solutions, Inc. <br />("Consultant"), as of March , 2021 (the "Effective Date"), (City and Consultant are, <br />individually, a "Party" and, collectively, the "Parties"). <br />1:7x0111U �"l <br />A. Consultant offers an advanced technology platform called Camino ("Platform") <br />designed with artificial intelligence and analytics capabilities to help improve the ability of <br />government agencies to process applications and permits, manage inspections and code <br />enforcement activities, and engage with the public. <br />B. On January 1, 2019, the Parties entered into a one (1) year agreement for a pilot <br />project where the City provided critical feedback to Consultant on the development and <br />optimization of the Platform and in exchange, Consultant provided the Platform to City at <br />a discounted rate. The pilot was renewed for a subsequent year. <br />C. The Parties now desire to enter into a three (3) year agreement to continue the <br />services that were piloted in prior years. <br />D. Consultant warrants to the City that it has the qualifications, experience, software, <br />and facilities to perform properly and timely the services under this Agreement. <br />E. The City desires to contract with Consultant to perform the Scope of Services as <br />defined herein and as described in Exhibit A of this Agreement, which is attached and <br />incorporated herein by reference. <br />AGREEMENT <br />In consideration of the above Recitals and the following covenants, terms, and conditions, <br />the City and Consultant hereto agree as follows: <br />1. DEFINITIONS. For purposes of this Agreement, the following definitions apply: <br />1.1. "Agreement" means these general terms and conditions and all <br />exhibits attached hereto. <br />1.2.
