4133-2739-6656.2 CERTIFICATE OF CITY OF REDWOOD CITY The undersigned, City of Redwood City (the “Participant”), hereby certifies as follows: 1. The Participant is a member of the Bay Area Water Supply and Conservation Agency (the “Agency”) and a party to the Amended and Restated Water Supply Agreement, dated November 2018, providing for the sale of water by the City and County of San Francisco to wholesale customers, including the Participant. 2. The Participant understands that the Agency proposes to refund all or a portion of its Revenue Bonds (Capital Cost Recovery Prepayment Program), Series 2013A, through the issuance of its Refunding Revenue Bonds (Capital Cost Recovery Prepayment Program) (the “Bonds”), and, in order to pay debt service on the Bonds, to maintain required reserves and to satisfy the Agency’s other obligations relating to the Bonds, the Agency will impose charges on its members (“Surcharges”). 3. Payment of the Surcharge by the Participant will constitute an operation and maintenance expense of the Participant payable from the revenues of the Participant’s water enterprise prior to the payment of obligations payable from the net revenues of the Participant’s water enterprise. 4. The information relating to the Participant and its water enterprise and water supply to be included in Appendix A to the Preliminary Official Statement to be delivered by the Agency in connection with the sale of the Bonds and to be included in Appendix A to the Official Statement to be executed and delivered by the Agency in connection with the sale of the Bonds is true and correct in all material respects, and such information does not contain any untrue or misleading statement of a material fact or omit to state any material fact necessary to make the statements therein, in the light of the circumstances under which they were made, not misleading.
