<br /> 4133-2739-6656.2 <br /> <br />CERTIFICATE OF CITY OF REDWOOD CITY <br /> <br />The undersigned, City of Redwood City (the “Participant”), hereby certifies as follows: <br />1. The Participant is a member of the Bay Area Water Supply and Conservation <br />Agency (the “Agency”) and a party to the Amended and Restated Water Supply Agreement, <br />dated November 2018, providing for the sale of water by the City and County of San Francisco <br />to wholesale customers, including the Participant. <br />2. The Participant understands that the Agency proposes to refund all or a portion of <br />its Revenue Bonds (Capital Cost Recovery Prepayment Program), Series 2013A, through the <br />issuance of its Refunding Revenue Bonds (Capital Cost Recovery Prepayment Program) <br />(the “Bonds”), and, in order to pay debt service on the Bonds, to maintain required reserves and <br />to satisfy the Agency’s other obligations relating to the Bonds, the Agency will impose charges <br />on its members (“Surcharges”). <br />3. Payment of the Surcharge by the Participant will constitute an operation and <br />maintenance expense of the Participant payable from the revenues of the Participant’s water <br />enterprise prior to the payment of obligations payable from the net revenues of the Participant’s <br />water enterprise. <br />4. The information relating to the Participant and its water enterprise and water <br />supply to be included in Appendix A to the Preliminary Official Statement to be delivered by the <br />Agency in connection with the sale of the Bonds and to be included in Appendix A to the <br />Official Statement to be executed and delivered by the Agency in connection with the sale of the <br />Bonds is true and correct in all material respects, and such information does not contain any <br />untrue or misleading statement of a material fact or omit to state any material fact necessary to <br />make the statements therein, in the light of the circumstances under which they were made, not <br />misleading. <br /> <br />Date: _______________ City of Redwood City <br /> <br />By: ________________________________ <br /> Melissa Stevenson Diaz <br /> <br />Title: City Manager <br /> <br />MGR-Alex Khojikian (Oct 5, 2021 14:36 PDT) <br />10/5/21
