<br />ATTY/AGR/2021/AMENDMENTS/1st AMEND SAN CARLOS – RWC FIRE AGREEMENT <br />REV: 04-01-2021 VR <br /> <br />Page 1 of 3 <br /> <br />FIRST AMENDMENT TO <br />SECOND AMENDED AND RESTATED AGREEMENT <br />BETWEEN CITIES OF REDWOOD CITY AND SAN CARLOS <br />FOR FIRE & EMERGENCY SERVICES <br /> <br />This First Amendment to Second Amended and Restated Agreement (“Amendment”) is <br />entered into as of ______________, 2021 (“Effective Date”) by and between the City of Redwood <br />City, a charter city and municipal corporation of the State of California (“Redwood City”), and the <br />City of San Carlos, a municipal corporation of the State of California (“San Carlos”), collectively <br />“Participating Agencies.” <br />RECITALS <br />WHEREAS, the Participating Agencies entered into that certain Second Amended and <br />Restated Agreement between the Cities of Redwood City and San Carlos for Fire and Emergency <br />Services dated May 18, 2018 (“Original Agreement”), for the delivery of certain fire and <br />emergency services; and <br />WHEREAS, the Original Agreement includes, among other things, a payment schedule for <br />the fire and emergency services provided by Redwood City to San Carlos; and <br />WHEREAS, the Participating Agencies have agreed to revise the payment schedule; and <br />WHEREAS, the Participating Agencies desire to formalize their agreement on the payment <br />schedule for unfunded liabilities as set forth below. <br />AGREEMENT <br />NOW THEREFORE, the Participating Agencies agree as follows: <br />1. Paragraphs (5)-(7) of Subsection 2 (b)(i) of the Original Agreement are amended <br />to read as follows: <br />“(5) San Carlos shall pay the CalPERS Unfunded Liability <br />associated with providing the Services (which are included in Exhibit “C”, <br />Item F) as set forth in the following “Unfunded Liability Schedule”: <br />Year 1: 45% of the “Unfunded Rate” or its equivalent as <br />shall be provided by CalPERS <br />Year 2: 45% of the “Unfunded Rate” or its equivalent as <br />shall be provided by CalPERS <br />Year 3: 40% of the “Unfunded Rate” or its equivalent as <br />shall be provided by CalPERS <br />Year 4: 45% of the “Unfunded Rate” or its equivalent as <br />shall be provided by CalPERS <br />Year 5: 50% <br />October 22
