MEMORANDUM OF UNDERSTANDING <br />1.Project Overview <br />This is a memorandum of understanding (“MOU”), dated as of October ,2021, <br />between Friends for Youth (“FFY”) and Redwood City Together (“RCT” or the “Consultant”) <br />concerning their collaboration on the Whole Health for Youth (WHY) Initiative. The WHY <br />Initiative is a collaborative that consists of Friends for Youth, Redwood City PAL (Police <br />Activities League), Siena Youth Center of the St. Francis Center, Peninsula Conflict Resolution <br />Center (PCRC), Star Vista, and One Life Counseling Center. <br />FFY is a nonprofit organization that is tax exempt under Section 501(c) (3) of the Internal Revenue <br />Code. City of Redwood City acting as fiscal agent for Redwood City Together is a public entity <br />and tax exempt. FFY and the Consultant intend to work together on the project described in the <br />“Project Description” attached as Exhibit A. <br />2.What FFY Will Do <br />FFY’s Project responsibilities are described in the Project Description. FFY will disburse contract <br />funds to the Consultant in the manner and amount(s) described in the Project Description. <br />Additional FFY responsibilities are set out in Section 5. <br />3.What The Consultant Will Do <br />3.1 Project Responsibilities. The Consultant’s Project responsibilities are described in the <br />Project Description. Additional responsibilities of the Consultant are set out in Section 5. <br />3.2 Limitations on Use of Funds. The Consultant will use the funds provided by FFY <br />exclusively for the purposes set out in the Project Description. The Consultant will not use the <br />funds or any income earned from investment of the funds (i) to influence any election or to engage <br />in any activity that is prohibited by Internal Revenue Code Section 501(c)(3) or (ii) to support any <br />person or organization engaged in terrorist activity. <br />4.How We Will Communicate <br />4.1 Reports. The Consultant will submit reports to FFY in the manner and on the schedule set <br />out in the Project Description. The Consultant will keep records of its work under this MOU in a <br />manner that will enable FFY to review the Consultant’s use of funds and compliance with this <br />MOU, and will make the records available for review by FFY on reasonable notice. <br />4.2 Project Staff. FFY and the Consultant will each appoint an individual to act as the key <br />contact and to coordinate the activities of the Project. The initial appointees are identified in the <br />ATTY/AGR.2021.264/Friends for Youth (Page 1 of 8)
