REV: 09-08-2022 RL <br />MEMORANDUM OF UNDERSTANDING <br />1.Project Overview <br />This is a memorandum of understanding dated as of __________________, 2022 (the “MOU”) <br />between the Legal Aid Society of San Mateo County (“LASSMC”) and Redwood City Together <br />(the “Collaborator”) concerning the Linking Immigrants to Benefits Resources and Education <br />(LIBRE) project, a collaboration of the Legal Aid Society of San Mateo County, Redwood City <br />together, Nuestra Casa, Coastside Hope, Redwood City School District, and the Human Services <br />Agency. <br />LASSMC is a nonprofit, public benefit corporation that is tax exempt under Section 501(c)(3) of <br />the Internal Revenue Code. City of Redwood City acting as fiscal agent for Redwood City <br />Together is a public entity and tax exempt. LASSMC and the Collaborator intend to work together <br />on the project (the “Project”) described in the Project Description attached as Exhibit A. This <br />MOU covers work that LASSMC and the Collaborator will do under the terms of the LIBRE Grove <br />Proposal attached as Exhibit B. <br />2.What LASSMC Will Do <br />LASSMC’s Project responsibilities are described in the Project Description. LASSMC will <br />disburse contract funds to the Collaborator in the manner and amount(s) described in the Project <br />Description. Additional LASSMC responsibilities are set out in Section 5. <br />3.What Collaborator Will Do <br />3.1 Project Responsibilities. The Collaborator’s Project responsibilities are described in the <br />Project Description. Additional responsibilities of the Collaborator are set out in Section 5. <br />3.2 Limitations on Use of Funds. The Collaborator will use the funds provided by LASSMC <br />exclusively for the purposes set out in the Project Description. The Collaborator will not use the <br />funds or any income earned from investment of the funds (i) to influence any election or to engage <br />in any activity that is prohibited by Internal Revenue Code Section 501(c)(3) or (ii) to support any <br />person or organization engaged in terrorist activity. <br />4.How We Will Communicate <br />4.1 Reports. The Collaborator will submit reports to LASSMC in the manner and on the <br />schedule set out in the Project Description. The Collaborator will keep records of its work under <br />this MOU in a manner that will enable LASSMC to review the Collaborator’s use of funds and <br />compliance with this MOU and will make the records available for review by LASSMC on <br />reasonable notice. <br />4.2 Project Staff. LASSMC and the Collaborator will each appoint an individual to act as the <br />key contact and to coordinate the activities of the Project. The initial appointees are identified in <br />the Project Description. The Collaborator’s appointee will reply to all of LASSMC’s <br />ATTY/AGR.2022.331/Legal Aid Society of San Mateo County (Page 1 of 13) <br />September 30
