REV: 09-30-2022 RL AGREEMENT FOR SEVICES BETWEEN THE CITY OF REDWOOD CITY (CITY) AND STARVISTA This Agreement is entered into this ________ day of ________ 2022 by and between StarVista, a California nonprofit corporation (“Contractor”), and the CITY OF REDWOOD CITY, a California municipal corporation and charter city ("City"). City and Contractor are sometimes referred to hereinafter individually as “Party” and collectively as “Parties.” * * * WHEREAS, the Parties previously executed an Agreement for Services, dated as of July 1, 2017, for Contractor to provide a safe sobering environment for individuals brought to First Chance for being under the influence of alcohol. WHEREAS, that Agreement for Services expired on June 30, 2020, but the Parties continued to work together to ensure continuation of service delivery. The Parties now wish to renew implementation an agreement for services, and authorize the payment to Contractor for services rendered for the period from July 1, 2020 to the effective date of this Agreement. NOW THEREFORE, in consideration of the faithful performance of the terms and conditions set forth in this Agreement, the Parties hereto agree as follows: 1. EXHIBITS AND ATTACHMENTS The following exhibits and attachments are attached to this Agreement and incorporated into this Agreement by this reference: Exhibit A – Services Exhibit B – Payments and Rates 2. SERVICES TO BE PERFORMED BY CONTRACTOR In consideration of the payments set forth in this Agreement and in Exhibit B, Contractor shall perform services for City in accordance with the terms, conditions, and specifications set forth in this Agreement and in Exhibit A. 3. PAYMENTS In consideration of the services provided by Contractor in accordance with all terms, conditions, and specifications set forth in this Agreement and in Exhibit A, City shall make payment to Contractor based on the rates and in the manner specified in Exhibit B. City reserves the right to withhold payment if City determines that the quantity or quality of the work performed is unacceptable. City will pay Contractor a not to exceed amount of TWO HUNDRED TWENTY THOUSAND SIX HUNDRED EIGTHY-FIVE DOLLARS and THREE CENTS ($220,685.03) for the completion of all the work and services described herein, which sum will include all costs or expenses incurred by Contractor, payable as set forth in Exhibit B.
