REV: 12-6-23 MI AGREEMENT FOR HOTEL ACCOMMODATIONS FOR PARTICIPANTS IN REDWOOD CITY HOTEL RESPITE PROGRAM Pacific Pyramid Group, Inc. dba Days Inn THIS AGREEMENT is made and entered into as of the _____ day of __________________, 20__ (the “Effective Date”), by and between the CITY OF REDWOOD CITY, a charter city and municipal corporation of the State of California (“City”), and Pacific Pyramid Group, Inc. dba Days Inn, a California corporation (“Hotel”). RECITALS A. City has a hotel respite program through which it subsidizes the cost of a hotel room for persons experiencing homelessness. B. Hotel has the necessary experience in providing a hotel room for participants in the City’s hotel respite program. C. Hotel has submitted a proposal to City and has affirmed its willingness and ability to perform such work. NOW, THEREFORE, in consideration of these recitals and the mutual covenants contained herein, the Parties agree as follows: 1. HOTEL ACCOMODATIONS. Hotel will provide a hotel room for participants in the City’s hotel respite program at the average nightly rate of $120 per night plus tax or 25% discount of its regular price, whichever is highest. Hotel rates vary based on dynamic market pricing. Hotel will provide City with thirty (30) days’ advance written notice of any proposed rate changes, which must be approved in writing by the Human Services Manager. Participants in the hotel respite program are solely responsible for their own room(s) and any incidental charges upon departure. No additional charges will be incurred by City for work performed or for services or items provided by Hotel. Participants in the hotel respite program may stay at the Hotel for no longer than twenty- eight (28) consecutive nights. After the twenty-eighth (28th) consecutive night, Hotel will require participants to vacate the Hotel for at least one (1) night. After vacating for at least one (1) night, participants may return to the Hotel should they need to continue participating in the hotel respite program. 2. Term. Unless terminated earlier pursuant to Section 6, the term of this Agreement will begin on the Effective Date and will end when Hotel has fully drawn down the advance payment set forth in paragraph 3. 3. Advance payment. City will pay to Hotel an advance payment of no more than Two Hundred Thousand Dollars ($200,000) in increments of no more than Fifty Thousand ATTY/AGR.2023.292/Days Inn by Wyndham Redwood City (Agreement for Hotel Rooms) (Page 1 of 4) 22nd December 23
