REV: 01-25-24 MI CONSENT TO ASSIGNMENT AGREEMENT BY AND BETWEEN THE CITY OF REDWOOD CITY, CALIFORNIA, REDWOOD GENERAL TIRE SERVICE CO., INC, AND A&A REDWOOD GENERAL, INC. DOING BUSINESS AS REDWOOD GENERAL TIRE PROS This consent to assignment agreement (“Consent Agreement”) is entered into and effective as of day of , 2024 (“Effective Date”), by and between the City of Redwood City, California, a charter city and municipal corporation of the State of California, (“City”), Redwood General Tire Service Co., Inc., a California corporation, (“Assignor”) and A&A Redwood General, Inc. doing business as Redwood General Tire Pros, a California corporation (“Assignee”) (collectively, the “Parties”). RECITALS A. City and Redwood General Tire Service Co., Inc. previously executed that certain Agreement for Services, dated as of July 20, 2021 (“Agreement for Services”). B. Section 25 of the Agreement for Services, “Successors and Assigns” provides as follows: “Contractor may not assign this Agreement, nor any part of it, nor any monies due or to become due under it without the prior written consent of City, which City may withhold in its sole discretion.” C. The City has been informed that Assignee has purchased Assignor, and as such, Assignee will continue to provide the services to the City under the Agreement for Services, as it may have been amended from time to time. D. Assignee desires to obtain the City’s consent to the assignment of all rights, obligations and interest in the Agreement for Services, as it may have been amended from time to time, from Assignor to Assignee. E. It is the desire of City to formally consent to the assignment by Assignor of all its rights, obligations and interest in the Agreement for Services, as it may have been amended from time to time, to Assignee. In consideration of the above referenced recitals and the following mutual covenants, commitments and obligations, the Parties agree, as follows: CONSENT AGREEMENT PROVISIONS 1. City hereby consents to the assignment of the Agreement for Services, as it may have been amended from time to time, and all of the rights, duties, obligations and interest set forth therein from Assignor to Assignee. This consent is based on representations made by Assignor and Assignee that all the duties and obligations of Assignor to perform specified services included in the Agreement for Services, as it may have been amended from time to time, shall be performed by Assignee after the assignment is complete.
