REV: 02-07-25 LF <br />A G R E E M E N T <br />First Community Housing <br />(Villa Montgomery Elevator Rehabilitation) <br />THIS AGREEMENT, made and entered into this day of ____ 2025, by and <br />between the CITY OF REDWOOD CITY, a charter city and municipal corporation of the <br />State of California (“City”) and First Community Housing, a California nonprofit public <br />benefit corporation (“Subrecipient”) (collectively the “Parties”). <br />W I T N E S S E T H: <br />WHEREAS, the United States Department of Housing and Urban Development <br />(“HUD”) Community Development Block Grant Program (“CDBG”), authorized pursuant <br />to Title I of the Housing and Community Development Act of 1974 (P.L. 93-383), as <br />amended (the “Act”), provides the City with federal entitlement grant funds to finance a <br />continuum of activities ranging from public services to economic development and the <br />preservation and production of affordable housing; and <br />WHEREAS, Subrecipient, as an eligible applicant under the CDBG program, has <br />requested financial assistance from CDBG funds in order to make necessary repairs in a <br />qualified affordable rental property commonly referred to as Villa Montgomery Family <br />Apartments located at 1540 El Camino Real, Redwood City, CA 94063 (“Property”) <br />owned by Villa Montgomery, L.P. described in Exhibit “A” (“Program Objectives, Scope <br />of Work & Project Schedule”) during the program year commencing July 1, 2024 and <br />ending December 31, 2025 (the “Program Year”). <br />NOW, THEREFORE, the Parties hereby agree as follows: <br />1. FINANCIAL ASSISTANCE. City will allocate to Subrecipient the sum of Four <br />Hundred Eighty-Two Thousand Six Hundred Fifty Dollars ($482,650) (the “Subaward”) <br />contingent upon City’s receipt of the CDBG allocation and execution of the funding <br />approval/agreement with HUD for exclusive use by Subrecipient during the Program Year <br />commencing August 27, 2024, and ending December 31, 2025, solely for the purposes <br />described in Paragraph 3. <br />2. FEDERAL AWARD INDENTIFICATION. In accordance with Title 2 CFR (Code of <br />Federal Regulations) Section 200.332 (Requirements for Pass-Through Entities), the <br />following notification is to designate the use of federal funds in this Subaward: <br />i. Subrecipient name First Community Housing <br />ii.
