REV: 03-19-25 JB <br />LICENSE AGREEMENT BETWEEN THE CITY OF REDWOOD CITY <br />AND TOWNE MOTOR COMPANY FOR <br />USE OF 1402 MAPLE STREET TO TEMPORARILY PARK CARS FOR SALE <br />THIS LICENSE AGREEMENT (“Agreement”) is entered into as ______ day of <br />_____________________, 2025 (the “Effective Date”), by and between THE CITY OF <br />REDWOOD CITY, a charter city and municipal corporation of the State of California <br />(“CITY”), and TOWNE MOTOR COMPANY, a California corporation (“LICENSEE”). <br />RECITALS <br />A. CITY owns real property located at 1402 Maple Street, Parcel Number <br />052-392-590, Redwood City, California, as more particularly depicted in Exhibit A <br />attached hereto and incorporated herein by reference (“City Property”). <br />B. On December 1, 2023, CITY and LICENSEE entered into a License <br />Agreement for Use of 1402 Maple Street to Temporarily Prak Cars for Sale (“Original <br />License”). <br />C. The Original License expired on December 15, 2024, but Licensee never <br />surrendered and continues to use the Licensed Area as shown as License Area 1 in the <br />attached Exhibit B (“Licensed Area”). <br />D. LICENSEE is still an auto dealer with a business within the City of <br />Redwood City and continues to need a temporary storage facility for its inventory of new <br />vehicles. <br />E. LICENSEE desires to temporarily continue its use of the Licensed Area for <br />storage of up to 250 vehicles. <br />F. CITY has determined that the temporary use proposed by LICENSEE <br />provides a common benefit to the City. <br />G. LICENSEE understands and acknowledges that CITY is concurrently <br />providing a license to others to use portions of the City Property that are not within the <br />License Area (specifically License Area 2, as shown on the attached Exhibit B). <br />H. CITY is willing to provide to LICENSEE a license to use the License Area <br />for vehicle storage purposes, all on the terms set forth herein. <br />AGREEMENT <br />NOW, THEREFORE, for good and valuable consideration, receipt of which is <br />hereby acknowledged, the parties agree as follows: <br />1.Termination of Original License. Upon the Effective Date of this License <br />Agreement, the Original License shall terminate and be of no further force and effect, <br />and shall be superseded and replaced in its entity by this License Agreement, provided <br />ATTY/AGR.2025.048/Towne Motor Company (License Agreement 1402 Maple Street) (Page 1 of 15) <br />March <br />21st
