REV: 03-27-25 MI AGREEMENT FOR SERVICES Invoice Cloud, Inc. THIS AGREEMENT is made and entered into as of the _____ day of __________________, 20__ (the “Effective Date”), by and between the CITY OF REDWOOD CITY, a charter city and municipal corporation of the State of California (“City”), and Invoice Cloud, Inc., a Delaware corporation (“Consultant”). RECITALS A. City requires the services of a vendor to provide electronic bill presentment and payment (EBPP) services for utility billing for the Revenue Services division in the Finance Department. Services include electronic bill payment option online, bill presentment email notification of bills, online payment history and storing and securing customer credit card information. B. Consultant has the necessary experience in providing such services. C. Selection of Consultant is expected to achieve the desired results in an expedited fashion. D. Consultant has submitted a proposal to City and has affirmed its willingness and ability to perform such work NOW, THEREFORE, in consideration of these recitals and the mutual covenants contained herein, the Parties agree as follows: 1. Scope of Work. City retains Consultant to perform, and Consultant agrees to render, those EBPP services (the “Services”) that are defined in the Statement of Work attached hereto as Exhibit “A” and included in the Biller Order Form attached hereto as Exhibit “C” (“Services”), which are incorporated herein by reference. City will have the right to modify the scope of work to delete tasks in whole or in part, provided such modification is agreed to by both parties in writing. 2. Standard of Performance. The Services will be provided in accordance with the standards, terms and conditions of this Agreement and the “Biller Agreement” which is attached hereto as Exhibit “B” and the “Biller Order Form,” including the Invoice Type Parameter Sheet which is attached hereto as Exhibit “C”. In particular, upon implementation of the Services, City will have real time access to payment information and the status of payment on customer accounts (to the extent allowed by applicable PCI rules). 3. Term. Unless terminated earlier pursuant to the Biller Agreement , the term of this Agreement will be for a period of five years from the Effective Date. The foregoing notwithstanding, continuation of the Agreement beyond the first year of the term is contingent upon the City Council appropriating necessary funds for this Agreement.
