REV: 06-10-25 VR AMENDMENT NO. 4 TO AGREEMENT FOR SERVICES (Redwood City PAL Center) This Amendment No. 4 (the “Amendment No. 4”) is entered into and effective as of July 1, 2025, by and between the City of Redwood City, a charter city and municipal corporation of the State of California (“City”), and Redwood City Police Activities League, Inc., a California nonprofit corporation dba as Redwood City PAL Center (“Consultant”) (collectively, the “Parties”). RECITALS A. The Parties previously executed that certain AGREEMENT FOR SERVICES: Redwood City Police Activities League (PAL) dated as of September 15, 2022, (the “Original Agreement”). B. The Parties previously executed Amendment No. 1 to the Original Agreement (“Amendment No. 1”), dated as of September 15, 2023, Amendment No. 2 to the Original Agreement (“Amendment No. 2”), dated as of June 16, 2024, and Amendment No. 3 to the Original Agreement (Amendment No. 3”), dated as of November 16, 2024. The Original Agreement, Amendment No. 1, Amendment No. 2, and Amendment No. 3 are collectively known as the “Agreement.” C. The Parties have negotiated and agreed to the terms and conditions set forth in this Amendment No. 4. NOW, THEREFORE, in consideration of these recitals and the mutual covenants contained herein, the Parties agree as follows: 1. The term of the Agreement is hereby extended for an additional Twelve (12) month period. Including all extensions through this Amendment No. 4, the total term of the Agreement is Three (3) years, Nine (9) months, and Fifteen (15) days, expiring on June 30, 2026. 2. All other provisions of the Agreement will remain in full force and effect. 3. All requisite insurance policies to be maintained by Consultant pursuant to the Agreement will include coverage for this Amendment No. 4. 4. The individuals executing this Amendment No. 4 and the instruments referenced in it on behalf of Consultant each represent and warrant that they have the legal power, right and actual authority to bind Consultant to the terms and conditions of this Amendment No. 4. 5. If all Parties agree, electronic signatures may be used in place of original signatures on this Amendment No. 4. Each Party intends to be bound by the signatures on the electronic document, is aware that the other Parties will rely on the electronic ATTY/AGR.2025/Amend.
