No.1/Teri Black and Company, LLC (Executive Recruiter) (Page 1 of 3 ) AMENDMENT NO. 1 TO AGREEMENT FOR SERVICES Teri Black and Company, LLC This Amendment No. 1 (the “Amendment No. 1”) is entered into and effective as of July 2 5 , 2025, by and between the City of Redwood City, a charter city and municipal corporation of the State of California (“City”), and Teri Black and Company, LLC, a California limited liability company (“Consultant”) (collectively, the “Parties”). RECITALS A. The Parties previously executed that certain Agreement for Services, dated as of April 5, 2024, (the “Original Agreement”). B. The Parties have negotiated and agreed to the terms and conditions set forth in this Amendment No. 1. NOW, THEREFORE, in consideration of these recitals and the mutual covenants contained herein, the Parties agree as follows: 1. Paragraph 3 of the Original Agreement is hereby deleted in its entirety and replaced with the following: 3. Term. Unless terminated earlier pursuant to Section 21, the term of this Agreement will be for a period of four (4) years from the Effective Date. The foregoing notwithstanding, continuation of the Agreement beyond the first year of the term is contingent upon the City Council appropriating necessary funds for this Agreement. 2. Paragraph 6 of the Original Agreement is hereby deleted in its entirety and replaced with the following: 6. Compensation. City will pay to Consultant a not-to-exceed amount of Four Hundred Fifty Thousand Dollars ($450,000) for the completion of all the work and services described herein, which sum will include all costs or expenses incurred by Consultant, payable as set forth in Exhibit “A”. City will have the authority to withhold a 10% retention until it has accepted all of the Services as complete. 6.1 An application for payment form must be submitted to City which shall include the following: a clear, detailed invoice reflecting work being billed for, including a list of the specific recruitment tasks that were performed, an itemized list of expenses, any/all backup documentation supporting the above items. 6.2. The payment made to Consultant pursuant to the Agreement will be the full and complete compensation to which Consultant is entitled. City will
