REV: 08-25-25 VR <br />RIGHT OF ENTRY AGREEMENT <br />(YMCA-SV) <br />This RIGHT OF ENTRY AGREEMENT (“Agreement”), dated as of __________, 2025, <br />is made by and between City of Redwood City, a charter city and California municipal corporation <br />(“City”), and Young Men’s Christian Association of Silicon Valley, a a California non-profit <br />public benefit corporation (aka YMCA of Silicon Valley (“YMCA-SV”), who agree as follows: <br />RECITALS <br />A. City is the owner of that certain real property designated as Assessor’s Parcel <br />Number 058-186-040 and 058-184-040, situated at 1455 Madison Avenue in the City of Redwood <br />City, County of San Mateo (“County”), State of California, consisting of approximately 3.22 <br />acres, which acreage is improved with the existing Veteran’s Memorial Senior Center building <br />and constituent parking lot(“City Property”). <br />B. City and YMCA-SV entered into a Master Project Agreement dated December 6, <br />2019, a First Amendment to Master Project Agreement dated March 18, 2022, and a Second <br />Amendment to Master Project Agreement dated August 1, 2025, for the construction of new <br />YMCA facilities on that certain portion of City Property (“Property”) shown on Attachment No. <br />1, attached hereto and incorporated herein , including shared common spaces with the City. <br />C. In order to complete the design for the new facilities on the Property, YMCA-SV <br />wishes to conduct studies and investigations of physical, geological, and environmental conditions <br />on the Property, including (without limitation) drilling, trenching and excavation as necessary or <br />desirable for evaluating subsurface conditions (“Studies”). The proposed locations for Studies are <br />showed on Attachment No. 1. <br />D. YMCA-SV understands and acknowledges that YMCA-SV may need to obtain <br />permits from the San Mateo County Health Department, Environmental Health Services Division <br />(“Department”) to conduct such Studies. <br />E. YMCA-SV seeks to have access to, and City wishes to provide YMCA-SV with <br />access to, the Property in order to conduct the Studies YMCA-SV deems necessary or desirable, <br />subject to the terms hereof. <br />AGREEMENT <br />1. Right of Entry. <br />(a) Grant. City grants to YMCA-SV a non-exclusive license to enter on the <br />Property to conduct Studies of the real property as YMCA-SV deems necessary or desirable. <br />(b) Term. The term of this Agreement shall commence upon the date YMCA- <br />SV first enters the Property to conduct Studies, and shall expire 72 hours thereafter (“Term”). <br />Upon the termination of this Agreement pursuant to clause (ii) above, YMCA-SV shall, at its sole <br />ATTY/AGR.2025.223/YMCA of Silicon Valley (Utility Potholing) (Page 1 of 9) <br />August 27
