REV: 10-29-25 LF MASTER PURCHASE AGREEMENT FOR GOODS, COMMODITIES, AND SERVICES LEHR Upfitters OpCo, LLC dba LEHR This Master Purchase Agreement for goods, commodities and services (“Master Purchase Agreement”) is made and entered into on ______________, 2025, (the “Effective Date”) by and between LEHR Upfitters OpCo, LLC dba LEHR, a Delaware limited liability company (“Vendor”), and the City of Redwood City, a California charter city and municipal corporation (“City”). City and Vendor are sometimes referred to hereinafter individually as “Party” and collectively as “Parties.” RECITALS A. City requires emergency vehicle equipment and supplies, as well as equipment installation services. B. City now desires to purchase goods and services from Vendor from time to time pursuant to the terms and conditions of this Master Purchase Agreement. NOW THEREFORE, in consideration of the faithful performance of the terms and conditions set forth in this Master Purchase Agreement, the Parties hereto agree as follows: 1. Purchase of Goods and Services. City agrees to purchase, and Vendor agrees to sell, goods (“Goods”) and to provide any services related to the delivery of such goods (“Services”), on an as needed basis, as set forth in Exhibit A attached to this Master Purchase Agreement. The Goods will be in compliance with all of the standards and specifications set forth in Exhibit A, and the Services will be provided in a manner consistent with that level of care and skill ordinarily exercised by members in the same profession, practicing in the same locality under similar conditions. There will be no substitution of Goods or Services without the prior written authorization of City. City will place an order (“Order”) on an as-needed basis with the Vendor. In no event shall any order form provided by the Vendor supersede the terms of this Master Purchase Agreement. 2. City Employees Authorized to Submit Orders. The following City employees are authorized to submit an Order pursuant to this Master Purchase Agreement: Redwood City Public Works Services Personnel holding the positions of Equipment Services Superintendent, Equipment Services Supervisor, or Lead Mechanic. This list may be amended by the contract administrator at any time during the term of this Master Purchase Agreement. 3. Term. Unless terminated earlier pursuant to Section 6, the term of this Master Purchase Agreement will be for a period of one (1) year from the Effective Date.
