<br />Agreement dated July 12, 2004 and recorded on August 30, 2004 as Document 2004-
<br />176824 in the Official Records of the County of San Mateo, California (the "Official
<br />Records"), by and among the CITY OF REDWOOD CITY, a charter city and municipal
<br />corporation of the State of California (the "City"), THE REDEVELOPMENT AGENCY
<br />OF THE CITY OF REDWOOD CITY, a public body corporate and politic (the "Agen "),
<br />as the predecessor -in -interest to THE SUCCESSOR AGENCY TO THE
<br />REDEVELOPMENT AGENCY OF THE CITY OF REDWOOD CITY, a public body
<br />corporate and politic (the "Successor Agency"), and ON BROADWAY REDWOOD
<br />CITY, LLC, a California limited liability company ("Original Developer"), as amended by
<br />that certain Amendment No. 1 to Reciprocal Easement and Maintenance Agreement dated
<br />as of May 19, 2016, by and between the City and ON BROADWAY INVESTORS, LLC,
<br />a Delaware limited liability company (as successor -in -interest to Original Developer)
<br />("Successor Developer"), as predecessor -in -interest to RAR2-BROADWAY AT
<br />REDWOOD CITY — CA, INC., a Maryland corporation ("Seller") (as amended, modified
<br />or assigned from time to time, collectively, the "REA' ; any capitalized term used herein
<br />but not otherwise defined shall have the meaning assigned to such term by the REA), (ii)
<br />that certain Amended and Restated Disposition and Development Agreement for
<br />Downtown Retail -Cinema and Parking Project dated as of January 8, 2003, by and among
<br />the City, the Agency, and BHV INNISFREE VENTURES 1, LLC, a California limited
<br />liability company (as predecessor -in -interest to Original Developer) ("BHV"), as
<br />evidenced by that certain recorded Memorandum of Amended and Restated Development
<br />Agreement recorded on November 23, 2004 as Document No. 2004-231515 in the Official
<br />Records, as amended by that certain First Implementation Agreement to Amended and
<br />Restated Disposition and Development Agreement dated as of February 24, 2003 and that
<br />certain Second Implementation Agreement to Amended and Restated Disposition and
<br />Development Agreement dated as of September 23, 2003, as assigned by BHV to Original
<br />Developer pursuant to that certain Assignment and Assumption Agreement dated as of
<br />May 5, 2004 (as amended, modified and/or assigned from time to time, collectively, the
<br />"DDA"), (iii) that certain Grant Deed dated as of November 13, 2004 made by the Agency
<br />and accepted by Original Developer and recorded in the Official Records on November 23,
<br />2004 as Document No. 2004-231516 (the "Grant Deed"), and (iv) that certain Parking
<br />Facilities Agreement dated July 12, 2004 and recorded on November 8, 2006 as Document
<br />
