REV: 01-07-26 VR AMENDMENT NO. 1 TO AGREEMENT FOR SERVICES William R. Gray and Company DBA Gray-Bowen-Scott This Amendment No. 1 (the “Amendment No. 1”) is effective as of January 1, 2026, by and between the City of Redwood City, a charter city and municipal corporation of the State of California (“City”), and William R. Gray and Company DBA Gray-Bowen-Scott, a California corporation (“Consultant”) (collectively, the “Parties”). RECITALS The Parties previously executed that certain Agreement for Services (William R. Gray and Company), dated as of June 30, 2023, (the “Original Agreement”) (the Original Agreement and this Amendment No. 1 are collectively known as the “Agreement”). A. The Original Agreement authorized the City Manager to amend the Agreement effective as of January 1, 2026, to extend it for one 6-month period upon the expiration of the initial term. B. The Parties agreed to extend the Agreement term and continued to work together in good faith under the terms of the Agreement to ensure continuation of Services beyond December 31, 2025. C. The Parties now wish to memorialize the extension of the Agreement by this Amendment No. 1 and have negotiated and agreed to the terms and conditions set forth in this Amendment No. 1. NOW, THEREFORE, in consideration of these recitals and the mutual covenants contained herein, the Parties agree as follows: 1. City will pay Consultant a not-to-exceed amount of Three Hundred Thirty- One Thousand Two Hundred Ninety-Nine Dollars ($331,299) for the completion of all the services described in Exhibit “A” of the Original Agreement, which sum will include all costs or expenses incurred by Consultant. Including all amendments through Amendment No. 1, the total amount payable under the Agreement will be a not-to-exceed amount of Three Million Six Hundred Forty-Four Thousand Two Hundred Ninety-Five Dollars ($3,644,295). 2. The term of the Agreement is hereby extended for an additional six (6) month period. Including all extensions through this Amendment No. 1, the total term of the Agreement is three (3) years, expiring on June 30, 2026. 3. All other provisions of the Agreement will remain in full force and effect. 4. All requisite insurance policies to be maintained by Consultant pursuant to the Agreement will include coverage for this Amendment No. 1. ATTY/AGR.2026/Amend. No.1/William R.
