REV: 01-05-26 LR <br />AGREEMENT FOR SERVICES <br />ENSIGHT TECHNOLOGIES LLC <br />THIS AGREEMENT is made and entered into as of _________________, 2025 <br />(the “Effective Date”), by and between the CITY OF REDWOOD CITY, a charter city and <br />municipal corporation of the State of California (“City”), and ENSIGHT TECHNOLOGIES <br />LLC, a California limited liability company (“Consultant” or “Contractor”). <br />RECITALS <br />A. City requires the services of a Parking Access and Revenue Control System <br />(PARCS) Consultant to convert City garages into a gateless payment system and <br />upgrade and operate associated technologies thereof. <br />B. Consultant has the necessary experience in providing such services. <br />C. Selection of Consultant is expected to achieve the desired results in an <br />expedited fashion. <br />D. Consultant has submitted a proposal to City and has affirmed its willingness <br />and ability to perform such work. <br />NOW, THEREFORE, in consideration of these recitals and the mutual covenants <br />contained herein, the Parties agree as follows: <br />1. Definitions. <br />For purposes of this Agreement, the following definitions apply: <br />1.1. “Agreement” means these general terms and conditions and all exhibits and <br />attachments included hereto. <br />1.2. “City Data” means all data created by or in any way originating with the City, <br />all data that is the output of computer processing of or other electronic <br />manipulation of any data that was created by or in any way originated with the City, <br />whether such data or output is stored on the City’s hardware, Consultant’s <br />hardware, or exists in any system owned, maintained, or otherwise controlled by <br />the City or by Consultant, and all raw electronic data or information collected and <br />stored by Consultant, in Consultant, in any case excluding City Solution Data. <br />1.3. “City Solution Data” means data entered by the City into the Services in <br />order to operate the Services for the City, or data generated by the operation of <br />the Services for the City. <br />1.4. “Connectivity Charges” means the costs incurred by Contractor to provide <br />internet connectivity for the hardware devices purchased by the City under this <br />Agreement that are necessary to provide the Services to the City. <br />ATTY/AGR.2026.001/EnSight Technologies (Parking Access and Revenue Control System (PARCS)) (Page 1 of 167) <br />January 16, 2026
