REV: 02-13-26 MI <br />MASTER PURCHASE AGREEMENT <br />FOR GOODS, COMMODITIES, AND SERVICES <br />L.N. Curtis & Sons <br />This Master Purchase Agreement for goods, commodities and services (“Master <br />Purchase Agreement”) is made and entered into as of _____________, 2026, (the <br />“Effective Date”) by and between L.N. Curtis & Sons, a California corporation (“Vendor”), <br />and the City of Redwood City, a California charter city and municipal corporation (“City”). <br />City and Vendor are sometimes referred to hereinafter individually as “Party” and <br />collectively as “Parties.” <br />RECITALS <br />A. City requires a vendor to supply firefighter personal protective equipment <br />(PPE) and other supplies in supporting fire department operations. <br />B. The City Council of Redwood City approved City’s purchase of firefighter <br />personal protective equipment (PPE) and other supplies supporting fire department <br />operations from Vendor on __________________. <br />C. City now desires to purchase the agreed upon goods and services from <br />Vendor from time to time pursuant to the terms and conditions of this Master Purchase <br />Agreement. <br />NOW THEREFORE, in consideration of the faithful performance of the terms and <br />conditions set forth in this Master Purchase Agreement, the Parties hereto agree as <br />follows: <br />1. Purchase of Goods and Services. City agrees to purchase, and Vendor agrees to <br />sell, the goods (“Goods”) and to provide any services related to the installation or delivery <br />of such Goods (“Services”), on an as needed basis set forth in Exhibit A to this Master <br />Purchase Agreement, The Goods will be in compliance with all of the standards and <br />specifications set forth in Exhibit A, and the Services will be provided in a manner <br />consistent with that level of care and skill ordinarily exercised by members in the same <br />profession, practicing in the same locality under similar conditions. There will be no <br />substitution of Goods or Services with the prior written authorization of City. City will place <br />an order (“Order”) on an as-needed basis with the Vendor through their sales <br />representative. In no event shall any order form provided by the Vendor supersede the <br />terms of this Master Purchase Agreement. <br />2. City Employees Authorized to Submit Orders. The following City employees are <br />authorized to submit an Order pursuant to this Master Purchase Agreement: Redwood <br />City Fire Department Personnel holding the positions of Fire Chief, Deputy Fire Chief, <br />Battalion Chief, Fire Captain, Firefighter, Fire Marshal, Deputy Fire Marshal, Fire <br />Prevention Officer or Management Analyst. <br />ATTY/AGR.2025.269/L.N.
