REV: 05-20-26 VR AMENDMENT NO. 3 TO AGREEMENT FOR BUDGETING AND PLANNING, ORGANIZATIONAL PERFORMANCE, AND CITIZEN ENGAGEMENT SOFTWARE SERVICES AND PROGESSIONAL SERVICES (OpenGov, Inc.) This Amendment No. 3 (the “Amendment No. 3”) is entered into and effective as of _________________, 2026, by and between the City of Redwood City, a charter city and municipal corporation of the State of California (“City”), and OpenGov, Inc., a Delaware corporation (“Consultant”) (collectively, the “Parties”). RECITALS A. The Parties previously executed that certain Agreement For Budgeting and Planning, Organizational Performance and Citizen Engagement Software Services and Professional Services, dated as of April 18, 2019, (the “Original Agreement”). B. The Parties previously executed Amendment No. 1 to the Original Agreement, dated as of September 12, 2022 (“Amendment No. 1”) and Amendment No.2 to the Original Agreement (“Amendment No. 2”), dated August 15, 2025 (the Original Agreement and Amendments No. 1 and 2 are collectively known as the “Agreement”). C. The Parties have negotiated and agreed to the terms and conditions set forth in this Amendment No. 3. NOW, THEREFORE, in consideration of these recitals and the mutual covenants contained herein, the Parties agree as follows: 1. City will pay Consultant a not-to-exceed amount of Seventy-Five Thousand Dollars ($75,000) for the completion of all the services described in Exhibit “A” of Amendment No. 1 which sum will include all costs or expenses incurred by Consultant. Including all amendments through Amendment No. 3, the total amount payable under the Agreement will be a not-to-exceed amount of Six Hundred Ninety Thousand Two Hundred Eight Dollars and Thirty-Four Cents ($690,208.34). 2. The term of the Agreement is hereby extended for an additional one year period. Including all extensions through this Amendment No. 3, the total term of the Agreement is eight (8) years, two (2) months and twelve (12) days, expiring on June 30, 2027. 3. All other provisions of the Agreement will remain in full force and effect. 4. All requisite insurance policies to be maintained by Consultant pursuant to the Agreement will include coverage for this Amendment No. 3. 5. The individuals executing this Amendment No. 3 and the instruments referenced in it on behalf of Consultant each represent and warrant that they have the legal power, ATTY/AGR.2026/Amend.No.3/OpenGov, Inc.
