REV: 05-26-26 LF AMENDMENT NO. 1 TO AGREEMENT FOR SERVICES APS Environmental, Inc. This Amendment No. 1 (the “Amendment No. 1”) is entered into and effective as of _________________, 2026, by and between the City of Redwood City, a charter city and municipal corporation of the State of California (“City”), and APS Environmental, Inc., a California corporation (“Consultant”) (collectively, the “Parties”). RECITALS A. The Parties previously executed that certain Agreement for Services, dated as of February 16, 2024, (the “Agreement”). B. While the Agreement expired on February 15, 2026, the Parties continued to work together in good faith under the terms of the Agreement to ensure continuation of Services. The Parties now wish to memorialize the extension of the Agreement by this Amendment No. 1. C. The Parties have negotiated and agreed to the terms and conditions set forth in this Amendment No.1. NOW, THEREFORE, in consideration of these recitals and the mutual covenants contained herein, the Parties agree as follows: 1. City will pay Consultant a not-to-exceed amount of One Million One Hundred Seventeen Thousand One Hundred Ninety Dollars ($1,117,190) for the completion of all the Services described in Exhibit “A” of the Agreement, which sum will include all costs or expenses incurred by Consultant. Including all amendments through Amendment No. 1, the total amount payable under the Agreement will be a not-to-exceed amount of Two Million One Hundred Eighty-One Thousand One Hundred Eighty Dollars ($2,181,180). 2. The term of the Agreement is hereby extended for an additional two-year period. Including all extensions through this Amendment No. 1, the total term of the Agreement is four (4) years, expiring on February 15, 2028. 3. All other provisions of the Agreement will remain in full force and effect. 4. All requisite insurance policies to be maintained by Consultant pursuant to the Agreement will include coverage for this Amendment No. 1. 5. The individuals executing this Amendment No. 1 and the instruments referenced in it on behalf of Consultant each represent and warrant that they have the legal power, right and actual authority to bind Consultant to the terms and conditions of this Amendment No. 1.
