<br />AGREEMENT <br />FOR <br />INFORMATION TECHNOLOGY SUPPORT BETWEEN THE CITY OF <br />REDWOOD CITY AND El CONClllO OF SAN MATEO COUNTY <br /> <br />THIS AGREEMENT is made and entered into this /!l day of 4, 2010, by and between <br /> <br /> <br />the CITY OF REDWOOD CITY, hereinafter referred to as "RWC", and El CONClllO OF SAN <br /> <br />MATEO COUNTY, hereinafter referred to as "ECSMC," and collectively herein called the "Parties." <br /> <br />RECITALS <br /> <br />This Agreement is entered into with reference to the following facts and circumstances: <br />WHEREAS, ECSMC desires to engage RWC to render certain Information Technology <br />services to ECSMC related to Internet access; and <br />WHEREAS, RWC is qualified to provide such services to ECSMC; and <br />WHEREAS, ECSMC has elected to engage the services of RWC upon the terms and <br />conditions as hereinafter set forth. <br /> <br />TERMS AND CONDITIONS <br /> <br />1. Services. <br /> <br />The services to be performed by RWC under this Agreement shall include those services <br />set forth in Exhibit A, which is by this reference incorporated herein and made a part hereof as though <br />it were fully set forth herein. <br />Performance of the work specified in said Exhibit A is hereby made an obligation of RWC <br />under this Agreement, subject to any changes that may be made subsequently hereto upon the mutual <br />written agreement of said Parties. <br />Where in conflict, the terms of this Agreement supersede and prevail over any terms set <br />forth in Exhibit A. <br /> <br />2. Term of Aareement. <br />The term of this agreement shall be continuous, commencing upon signed agreement by <br />both parties and shall continue indefinitely until terminated by thirty (30) days prior written notice by <br /> <br />ATTY/AGR/2008.042 <br />061008 <br /> <br />1 <br />
