' a <br /> ORIGINAL <br /> AGREEMENT FOR TRANSPORTATION PLANNING SERVICES <br /> (Fehr and Peers) <br /> THIS ' GREEMENT is made and entered into as of the day of <br /> ��' , 2010, by and between the REDWOOD CITY <br /> /� <br /> RE P ELO • MENT AGENCY, a public body, corporate and politic, duly organized and <br /> existing under the laws of the State of California ( "Agency "), and Fehr and Peers <br /> Corporation ( "Consultant ") (collectively, the "Parties "). <br /> RECITALS <br /> A. Agency requires the professional services of a transportation planning firm <br /> that is experienced in traffic engineering design and circulation, bicycle and pedestrian <br /> planning, and working with Caltrans. <br /> B. Consultant has the necessary experience in providing professional <br /> services and advice related to the development of the Technical Memorandum <br /> "Comparison of Crosswalk Options for Woodside and Middlefield Road Intersection, <br /> April 2, 2009 as part of the Agency's Hoover Area Community Mobility Plan. <br /> C. The California State Department of Transportation (Caltrans) has <br /> reviewed the Technical Memorandum and has requested additional analysis. The <br /> Agency requests the retention of the Consultant to complete the analysis. <br /> D. Selection of Consultant is expected to achieve the desired results in an <br /> expedited fashion. <br /> E. Consultant has submitted a proposal to Agency and has affirmed its <br /> willingness and ability to perform such work. <br /> NOW, THEREFORE, in consideration of these recitals and the mutual covenants <br /> contained herein, the Parties agree as follows: <br /> 1. Scope of Work. Agency retains Consultant to perform, and Consultant agrees to <br /> render, those services (the "Services ") that are defined in attached Exhibit "A," which is <br /> incorporated by this reference in accordance with this Agreement's terms and <br /> conditions. If the Executive Director authorizes any or all of the options identified in <br /> Exhibit "A ", Consultant shall complete the authorized optional work within the time frame <br /> specified in the Executive Director's authorizing letter. <br /> 2. Standard of Performance. While performing the Services, Consultant will <br /> exercise the reasonable professional care and skill customarily exercised by reputable <br /> members of Consultant's profession practicing in the Metropolitan Northern California <br /> Area, and will use reasonable diligence and best judgment while exercising its <br /> professional skill and expertise. <br /> ATTY /AG R/2010.048 1 <br /> 052110 <br />
