ORIGINAL <br /> AGREEMENT FOR PROFESSIONAL SERVICES <br /> WITH GREEN ENVIRONMENT INC. <br /> AGREEMENT is made and entered into as of the day of September, <br /> THIS G y p , <br /> 2010, by and between the CITY OF REDWOOD CITY, a charter city and municipal <br /> corporation of the State of California ( "City "), and Green Environment Inc., a California <br /> corporation ( "Consultant" or "GEI "). <br /> RECITALS <br /> A. During the City's relocation of a concrete storm drainage culvert in 2003, <br /> contaminated soil and groundwater was discovered beneath the city's parking lot during <br /> the construction. <br /> B. Even though much of the contaminated material was removed and the <br /> project completed, the San Mateo County Environmental Health Department <br /> (SMCEHD) requested further investigation by the City of the source and extent of the <br /> contaminants. <br /> C. During this subsequent investigation, contaminates were also discovered <br /> on the property at 2075 Broadway. Accordingly, SMCEHD named Bae -Gem Properties, <br /> LP, the owners of 2075 Broadway, as co- responsible party with the City, and ordered <br /> additional investigation and testing. <br /> D. City requires the professional services of firm with experience in <br /> environmental, health and safety site assessments, clean up, and air, soil, and <br /> groundwater investigations. <br /> E. Consultant has the necessary experience in providing professional <br /> services and advice. <br /> F. Selection of Consultant is expected to achieve the desired results in an <br /> expedited fashion. <br /> G. Consultant has submitted a proposal to the City for exterior environmental <br /> subsurface investigation, which includes the additional conditions required by the San <br /> Mateo County Groundwater Protection Program staff, and Consultant has affirmed its <br /> willingness and ability to perform such work. <br /> NOW, THEREFORE, in consideration of these recitals and the mutual covenants <br /> contained herein, the Parties agree as follows: <br /> 1. Scope of Work. City retains Consultant to perform, and Consultant agrees to <br /> render, those services (the "Services ") that are defined in attached Exhibit "A" entitled <br /> "Green Environment Inc. Contract Proposal GEI Project #: B07378 -2010A (rev)," dated <br /> September 7, 2010, for Phase 1, which are incorporated herein by reference.
