ORIGINAL <br /> <br /> AGREEMENT <br /> FOR <br /> AUDITING SERVICES <br /> <br /> A THIS AGREEMENT, made and entered into this ~ day of <br /> ~ ~'"i [ ,2003, by and between the CITY OF REDWOOD CITY, a charter city <br /> and municipal corporation of the State of California ("City"), and CAPORICCI & <br /> LARSON, an accountancy partnership ("Auditor") (collectively, the "Parties"). <br /> <br /> WlTNESSETH: <br /> <br /> WHEREAS, City requires expert professional services to conduct annual fiscal <br /> year audits of its funds, books and accounts; and <br /> <br /> WHEREAS, Auditor represents that it is qualified to conduct such audits and <br /> prepare reports thereon; and <br /> <br /> WHEREAS, City desires to engage the services of Auditor for such services. <br /> NOW THEREFORE, the Parties agree as follows: <br /> <br /> 1. AUDITOR'S SERVICES. Auditor shall perform all those certain services as <br />set forth in Auditor's Proposal to Perform Professional Auditing Services for the years <br />ending June 30, 2003, through June 30 2005, submitted February 19, 2003, and more <br />specifically set forth in the "Summary of Proposal" and "Specific Audit Approach," which <br />sections are attached hereto as Exhibit "A" and made a part hereof. The entirety of <br />Auditor's February 19, 2003, proposal is on file in the office of the City's Director of <br />Finance; provided that in the event of any conflict between the provisions contained in <br />said proposal and this Agreement, the provisions of this Agreement shall govern. <br /> <br /> 2. COMPENSATION; EXPENSES; PAYMENT. City obligation to compensate <br />and pay Auditor shall be as set forth and limited by the "Total Ail-Inclusive Maximum <br />Price" schedule (inclusive of all direct and indirect costs including printing, out of pocket <br />expenses and an escalation factor for inflammation) which is attached hereto as Exhibit <br />"B" and made a part hereof. <br /> <br /> 3. ADDITIONAL SERVICES. In the event City desires the performance of <br />additional services not otherwise included within the services described in paragraph 1, <br />such services shall be authorized by written task order approved in advance of the <br /> <br />F:AttyAgr/Agr. 105 <br />031703 1 <br /> <br /> <br />
