<br />(h~/8!NA, <br /> <br />AGREEMENT <br />FOR PROFESSIONAL SERVICES <br />[HARRIS & ASSOCIATES] <br /> <br />JJ~ <br />THI AGREEMENT, made and entered into this day of <br />n , 2003, by and between the CITY OF REDWOO CITY, a charter <br />city and unicipal corporation of the State of California ("City"), and HARRIS & <br />ASSOCIATES ("Consultant") (collectively, the "Parties"). <br /> <br />WITNESSETH: <br /> <br />WHEREAS, City proposes to modify and improve the Ralston Freeway <br />Interchange on State Route 101, in the City of Redwood City and Belmont (the <br />"Project"); and <br /> <br />WHEREAS, in connection with the Project, the City will require professional <br />Construction Management and Administration services including: Modified Value <br />Engineering, Constructability Review, Phasing/Staging Review and Scheduling (the <br />"Services"); and <br /> <br />WHEREAS, in subsequent phases of the Project, the City will require <br />Construction Management and Contract Administration services; and <br /> <br />WHEREAS, Consultant represents that it possesses the experience, and is <br />qualified to perform the Services as well as Construction Management and Contract <br />Administration for the Project. <br /> <br />NOW, THEREFORE, the Parties hereto agree as follows: <br /> <br />1. CONSULTANT'S SERVICES. Consultant shall perform the Services which <br />are further described in Consultant's proposal attached hereto as Exhibit "A," and <br />incorporated herein by reference. <br /> <br />2. COMPENSATION; EXPENSES: PAYMENT. City shall compensate <br />Consultant for the Services performed by Consultant hereunder in an amount based <br />upon Consultant's hourly rates that are prevailing during the time of the performance of <br />said services. A copy of Consultant's hourly rates for which services hereunder shall be <br />performed are set forth in Consultant's fee schedule also contained in Exhibit "A" <br /> <br />Should a determination be made that the Project will move forward, Consultant <br />will perform Construction Management and Contract Administration services for a not to <br />exceed sum of one and a half million dollars ($1,500,000). Prior to moving forward with <br />these Construction Management and Contract Administration services, the Parties will <br />agree, by written amendment or task order, to the scope of such services. <br /> <br />F:Atty/Agr/Agr.092 <br />012703 <br />
