• <br /> ORIGINAL <br /> AGREEMENT FOR PROFESSIONAL SERVICES <br /> (Eric and Lori Lochtefeld — "Fox Theater Property LLC ") <br /> THIS AGREEMENT is made and entered into as of the c2 I f day of <br /> gh,tI,rxsy , 2011, by and between the REDWOOD CITY <br /> REDEVELOPMENT AGENCY, a public body, corporate and politic, duly organized and <br /> existing under the laws of the State of California ( "Agency "), and FOX THEATER <br /> PROPERTY LLC ( "Consultant "). <br /> RECITALS <br /> A. Agency seeks to stimulate retail activity in the Downtown Subarea of the <br /> Redwood City Redevelopment Agency Project Area, and consequently sponsors the <br /> Downtown WOW Program of public outdoor entertainment including musical, <br /> performing arts, and other events at Courthouse Square. <br /> B. Agency seeks to attract corporate sponsorships for Downtown WOW <br /> events, because a decrease in available Agency funds supporting this program <br /> necessitates that the Agency leverage increasing private financial support to continue <br /> stimulating retail activity in the downtown redevelopment area. <br /> C. Agency requires professional services to solicit sponsorships for the <br /> Downtown WOW Program of events held at Courthouse Square, within the Downtown <br /> Subarea of the Redwood City Redevelopment Agency Project Area. <br /> D. Consultant has the necessary experience in soliciting corporate <br /> sponsorships. <br /> E. Consultant has submitted a proposal to Agency and has affirmed its <br /> willingness and ability to perform such work. <br /> NOW, THEREFORE, in consideration of these recitals and the mutual covenants <br /> contained herein, the Parties agree as follows: <br /> 1. Scope of Work. Agency retains Consultant to perform, and Consultant agrees to <br /> render, those services (the "Services ") that are defined in attached Exhibit "A," which is <br /> incorporated herein by reference. In the event of a conflict between the provisions of <br /> Exhibit "A" and the terms of this Agreement, the terms of this agreement shall prevail. <br /> Agency shall have the right to modify the scope of work to delete tasks in whole or in <br /> part. <br /> 2. Standard of Performance.
