AGREEMENT O~//~ <br /> FOR PROFESSIONAL SERVICES <br /> [MAXlMUS, INC.] <br /> <br /> THIS AGREEMENT, made and entered into this ~ i'/~' day of <br />.,~.,~.,~, 2003, by and between the CITY OF REDWOOD CITY, a charter <br />city and municipal corporation of the State of California ("City"), and MAXIMUS, INC., of <br />Wayne, Pennsylvania ("Consultant") (collectively, the "Parties"). <br /> <br /> WITNESSETH: <br /> <br /> WHEREAS, City proposes to continue its efforts related to the fleet software <br />conversion from EMS to FASuite (the "Project"); and <br /> <br /> WHEREAS, in connection with the Project, the City requires professional <br />consulting services; and <br /> <br /> WHEREAS, Consultant represents that it possesses the experience, and is <br />qualified to perform the aforesaid services for the Project. <br /> <br /> NOW, THEREFORE, the parties hereto agree as follows: <br /> <br /> 1. CONSULTANT'S SERVICES. Consultant shall perform consulting <br />services further described in Exhibit "A" hereof, attached hereto and by this reference <br />incorporated herein. <br /> <br /> 2. COMPENSATION; EXPENSES; PAYMENT.
