AGREEMENT <br /> FOR <br /> INFORMATION TECHNOLOGY SUPPORT BETWEEN THE CITY OF <br /> REDWOOD CITY AND TOWN OF PORTOLA VALLEY <br /> THIS AGREEMENT is made and entered into this' 13 �day of, July , 2011, by and <br /> between the CITY OF REDWOOD CITY, hereinafter referred to as "RWC" and TOWN OF <br /> PORTOLA VALLEY, hereinafter referred to as "TOPV," and collectively herein called the <br /> "Parties.° <br /> RECITALS <br /> This Agreement is entered into with reference to the following facts and circumstances: <br /> WHEREAS, TOPV desires to engage RWC to render certain Information <br /> Technology services to TOPV related to carrying on the day to day technology related operations <br /> of TOPV; and <br /> WHEREAS, RWC is qualified to provide such services to TOPV; and <br /> WHEREAS, TOPV has elected to engage the services of RWC upon the terms and <br /> conditions as hereinafter set forth. <br /> TERMS AND CONDITIONS <br /> 1. Services. <br /> The services to be performed by RWC under this Agreement shall include those <br /> services set forth in Exhibit A, which is by this reference incorporated herein ancl made a part <br /> hereof as though it were fully set forth herein. <br /> Performance of the work specified in said Exhibit A is hereby made an obligation of <br /> RWC under this Agreement, subject to any changes that may be made subsequently hereto upon <br /> the mutual written agreement of said Parties. <br /> Where in conflict, the terms of this Agreement supersede and prevail over any terms <br /> set forth in Exhibit A. <br /> ATTY/AGR/2011.042 <br /> 061008 <br /> 1 <br />
