o�oGO���. <br /> SPONSORSHIP AGREEMENT <br /> Sakura Teppanyaki & Sushi Sponsorship of <br /> 2012 City of Redwood City Music on the Square <br /> This agreement between the City of Redwood City ("City") and Sakura Teppanyaki & Sushi <br /> ("Sponsor") governs Sponsor's sponsorship of 2012 Redwood City Music on the Square events <br /> occurring between June 1, 2012 and August 24, 2012. <br /> l. Promotional Advertising: City will include Sponsor in promotional materials and <br /> onsite advertising for 2012 Music on the Square events, as set forth in attached Exhibit <br /> "A," which is incorporated by this reference, in accordance with this Agreement's terms <br /> and conditions. <br /> 2. Sponsorship Fee: Sponsor will contribute the amount of $10,000 to sponsor Music on <br /> the Square events held in Courthouse Square, downtown Redwood City. Sponsor will <br /> remit payment payable to "City of Redwood City" no later than 30 days after the date of <br /> execution of this Agreement. <br /> 3. Termination: Termination of this Agreement shall be in writing. If Sponsor fails to <br /> timely remit payment, City shall notify Sponsor in writing of its intent to terminate this <br /> Agreement. In the event that Sponsor wishes to terminate this Agreement after remitting <br /> payment, City in its sole discretion will determine the appropriate sum (if any) to refund <br /> to Sponsor. <br /> 4. Modification of Atreement: No modification, waiver, or amendment of this Agreement <br /> shall be effective unless by express written agreement signed by City and Sponsor. <br /> 5. Entire Agreement: This Agreement, together with all attachments, sets forth the entire <br /> agreement between the parties with regard to Sponsor's sponsorship of 2012 Music on <br /> the Square events.
