<br /> AGREEMENT BETWEEN THE SAN MATEO COUNTY SUPERINTENDENT OF
<br /> SCHOOLS AND THE CTTY OF REDWOOD CITY FOR SAN MATEO COUNTY
<br /> CHII.D�ARE PARTNERSHIP COUNCIL SERVICES.
<br /> I. PURPOSE OF AGREEMENT
<br /> THIS AGREEMENT is made on behalf of the San Mateo County Child Caze Partnership
<br /> Council(CCPC),the Local Child Care Planning Council for San Mateo County,and entered into
<br /> by and between the San Mateo County Superintendent of Schools("County SuperintendenY�as
<br /> lead agency and fiscal designee and the City of Redwood City,a charter city and municipal
<br /> corporation of the State of California("City'�for the purpose of funding costs for activities in
<br /> support of the Child Care Partnership Council.
<br /> The San Mateo County Superintendent of Schools is the lead agency and fiscal agent for the
<br /> Child Care Partnership Council. The City has been selected by the County Superintendent to
<br /> receive funds in order to provide the services detailed in the atta.ched Scope of Work
<br /> (Attachment A) in support of the work of the Cluld Care Partnership Council. Funding for this
<br /> agreement is contingent upon completion of all required responsibilities(See Sections 2 and 3
<br /> below)in a manner that is both timely and in compliance with the teims of the Agreement.
<br /> II. COUNTY SUPERINTENDENT'S RESPONSIBILITIES
<br /> It is agreed between the County Superintendent of Schools and the City as follows:
<br /> 1. Term of Aereement
<br /> The term of this Agreement shall be from July 1,2012 to June 30,2013.
<br /> 2. Pavments
<br /> The County Superintendent shall issue payment to the City in an amount not to exceed tturty-
<br /> four thousand,seven hundred and twenty-two dollazs and no cents($34,723)for the Services
<br /> (personnel costs$32,323;other expenses$2,400). Personnel costs are charged at$51.80
<br /> hourly for 624 hours(equivalent to .3 FTE for 52 weeks).Payments will be made to City on
<br /> a quarterly basis for actual expenditures and be based upon invoices submitted to the County
<br /> Superintendent by City and in accordance with the Budget(Attachment B). Any change in
<br /> this agreement will occur only upon mutual written agreement of both Parties.
<br /> 3. Hold Harmless
<br /> The County Superintendent shall defend,indemnify,and save harmless the City,its council,
<br /> boards,commissions,officers,employees and agents,from and against any and all claims,
<br /> suits,actions liability, loss,damage,expense,cost(including,costs and fees of litigation)of
<br /> every nature,kind or description,which may be brought agai.nst,or suffered or sustained by
<br /> City,its council,boazds,commissions,officers,employees or agents to the extent such
<br /> claims,suits,actions,liability,loss,damage, expense,cost(including costs and fees of
<br /> litigation)of every nature,kind or description which may be brought against,or suffered or
<br /> sustained by City,its council,boards,commissions,officers,employees or agents aze caused
<br /> by the negligent act or omission,intentional tortious act or omission,or willful misconduct of
