� Agreement-2012-13 SF Bay Area IRWNI Grant Application <br /> Page 1 <br /> Agreement <br /> - 2012-13 San Francisco Bay Area IRWM Grant Application- <br /> This Agreement is entered into by and between the following entities: Association of Bay Area <br /> Governments/San Francisco Estuary Partnership (ABAG/SFEP), and the City of Redwood City, <br /> hereafter, referred to collectively as `Participants' and referred to individually and in general as <br /> `Participant'). <br /> A. Purpose. The purpose of this Agreement is to formalize the working relationship between the <br /> Participants. This Agreement defines the duties and obligations of the Participants and establishes the <br /> necessary administrative and governance structure to ensure an efficient process for the preparation and <br /> submission of an application for grant funding from the California Department of Water Resources' <br /> (DWR) Integrated Regional Water Management (IRWM) Program Proposal Solicitation for Round 2 <br /> IRWM Implementation Grants funded by Proposition 84. (Grant Opportunity). <br /> B. Retention of Consultant. To respond to the DWR Solicitation, ABAG/SFEP,with the concurrence of <br /> the Participant has retained Horizon Water and Environment, LLC (Grant Consultant) to help organize, <br /> prepare and submit the grant application at a fixed price of One Hundred Five Thousand Dollars <br /> ($105,000). <br /> C.Participant Responsibilities. Each Participant is obligated to: <br /> l. Work collaboratively to support Grant Consultant's preparation of the application for the Grant <br /> Opportunity(Application). <br /> 2. Cooperate with ABAG/SFEP and the Grant Consultant in a timely fashion to define one or more <br /> projects to be included in the Application(Participant Project). <br /> 3. Submit information requested by ABAG/SFEP and the Grant Consultant <br /> a. In a timely fashion according to the set schedule <br /> b. In the proper format as defined by ABAG/SFEP and the Grant Consultant <br /> c. Of suff'icient quality and detail to respond to the grant program requirements. <br /> 4. Upon notice of an award of a grant resulting from the application for the Grant Opportunity (Grant), <br /> collaborate on negotiating and fmalizing the funding agreement with DWR(Grant Agreement). <br /> D. ABAG/SFEP Responsibilities. In addition to the responsibilities described in section C, ABAG/SFEP <br /> will have the following additional roles/responsibilities: <br /> 1. Fiscal agent for all proposed activities under this Agreement. <br /> 2. Agency of record and contracting principal for the procurement, selection, retention and payment of <br /> the Grant Consultant. <br /> 3. Responsible party to ensure that the grant application is submitted on time. <br /> 4. Decision maker, along with the Chair of the Bay Area IRWMP Coordinating Committee,to remove <br /> Participant Projects and terminate Participant Agreements should the information provided by a <br /> Participant be of poor quality or delinquent or non-responsive to the requirements of the grant <br /> program. <br /> 5. Recipient of the Grant, if awarded by DWR. <br /> F. Member Resources and Fundin�. The Participants acknowledge that the Application requires their <br /> investment of resources for it to be effective.Each member will: <br /> l. Assign staff, at no cost, to act as its lead to assist ABAG/SFEP in the collection of required <br /> information for the Grant Consultant to prepare the grant. <br /> 2. Each Participant will pay a share of the cost of the Grant Consultant in the same ratio as the ratio of <br /> the budget(s) for said Participant's project(s) that are included in the Application.
