Gardner Center for Youth and Their Communities, <br /> � Stanford University <br /> S <br /> THI AGREEMENT is made and entered into as of the � day of <br /> , 201�, by and between the CITY OF REDWOOD CITY, a charter city <br /> and unicip corporation ("City"), serving as fiscal agent for Redwood City 2020, a <br /> collaboration comprised of the City of Redwood City, the Redwood City Elementary <br /> . School District, the Sequoia Union High School District, San Mateo County, Stanford <br /> University/John W. Gardner Center, the Sequoia Healthcare District, and Kaiser <br /> Permanente and The Board of Trustees of the Leland Stanford Junior University, a non- <br /> profit educational institution, through its John W. Gardner Center for Youth and Their <br /> Communities, ("Stanford ") (collectively, the "Parties"). <br /> RECITALS <br /> A. City requires the professional Research and Evaluation services. <br /> B. Stanford has the necessary experience in providing professional Research <br /> and Evaluation services. <br /> C. Selection of Stanford is expected to achieve the desired results. <br /> D. Stanford has submitted a proposal to City and has affirmed its willingness <br /> and ability to perform such work. <br /> NOW, THEREFORE, in consideration of these recitals and the mutua! covenants <br /> contained herein, the Parties agree as follows: <br /> 1. Scope of Work. City retains Stanford to perform, and Stanford agrees to render, <br /> those research services (the "Research Services") that are defined in attached Exhibit <br /> "A," which is incorporated herein by reference. In the event of a conflict between the <br /> provisions of Exhibit "A" and the terms of this Agreement, the terms of this Agreement <br /> shall prevail. City shall have the right to modify the scope of work to delete tasks in <br /> whole or in part. <br /> 2. Standard of Performance. While performing the Research Services, Stanford will <br /> exercise the reasonable professional care and skill customarily exercised by reputable <br /> employees of Stanford, and will use reasonable diligence and best judgment while <br /> exercising its professional skill and expertise. <br /> 3. Term.
