�q�,� �,r+��•�• �� „G� � �� ORI��,��, � AGREEMENT FOR LEADERSHIP SERVICES FOR THE ALCOHOL AND OTHER DRUG ABUSE PREVENTION PARTNERSHIP GRANT EL CENTRO DE LIBERTAD THIS AGREEMENT is made and entered into as of the /U �day of 201$, by and between the CITY OF REDWOOD CITY, a charter city and municipal co ration ("City"), serving as fiscal agent for Redwood City 2020 and EL CENTRO DE LIBERTAD, ("EL CENTRO") ("ConsultanY')(collectively, the"Parties"). RECITALS A. Redwood City 2020 is a Community Collaborative that coordinates the delivery of services to children, youth and families living in the City of Redwood City and North Fair Oaks, an unincorporated area adjacent to Redwood City. Redwood City 2020 is made up of eight partners, including City of Redwood City, Redwood City Elementary School District, Sequoia Union High School District, County of San Mateo Health and Human Services, Sequoia Healthcare District, John W. Gardner Center for Youth and their Communities—Stanford University, Kaiser Permanente, and First 5 of San Mateo County to provide leadership and oversight necessary to develop a coordinated approach to strengthen academic and social outcomes for children and youth living within the attendance area of the Redwood City School District and provide valuable resources to families so they can be successful primary caregivers to their children. B. City serves as fiscal agent for Redwood City 2020 and as such contracts for services required by Redwood City 2020. C. Redwood City 2020 requires the professional services of a consultant experienced in program management. D. Consultant has the necessary experience in providing professional services and advice. E. Selection of Consultant is expected to achieve the desired results in an expedited fashion. F. Consultant has submitted a proposal to Redwood City 2020 and has affirmed its willingness and ability to perForm such work. NOW, THEREFORE, in consideration of these recitals and the mutual covenants contained herein, the Parties agree as follows: 1. Scoqe of Work. Consultant agrees to perform those services (the"Services")that are defined in Exhibit"A,"attached hereto and incorporated herein by reference. In the event of a conflict between the provisions of Exhibit "A" and the terms of this Agreement, the terms of this Agreement shall prevail.City shall have the right to modify the scope of work to delete tasks in whole or in part. 2. Term. Unless earlier terminated, this Agreement will be from the date first above written until June 30, 2013. 3. Compensation. The total fee payable for the Services to be perFormed will be $4,000. Payment will be made pursuant to the terms of Exhibit "A." No other compensation for the Services will be allowed, except for items covEred by subsequent amendments to this Agreement. City reserves the right to withhold a ten percent (10%) retention until City has accepted the Services specified in Exhibit "A." There shall be no additional charge for expenses unless agreed to by City. Payment shall occur only after receipt by City of invoices sufficiently detailed to include hourly rates, hours worked, and tasks perFormed, unless otherwise agreed to by City.
