<br /> AGREEMENT BETWEEN THE SAN MATEO COUNTY SUPERINTENDENT OF
<br /> SCHOOLS AND THE CITY OF REDWOOD CITY FOR SAN MATEO COUNTY
<br /> CHILD CARE PARTNERSHIP COUNCIL SERVICES
<br /> I. PURPOSE OF AGREEMENT
<br /> THIS AGREEMENT is made on behalf of the San Mateo County Child Care Partnership
<br /> Council ("CCPC"), the Local Child Care Planning Council for San Mateo County, and entered
<br /> into by and between the San Mateo County Superintendent of Schools ("County
<br /> Superintendent") as lead agency and fiscal designee, and the City of Redwood City, a charter
<br /> city and municipal corporation of the State of California ("City") for the purpose of funding
<br /> costs for activities in support of the CCPC.
<br /> The County Superintendent is the lead agency and fiscal agent for the CCPC. The City has been
<br /> selected by the County Superintendent to receive funds in order to provide the services detailed
<br /> in the attached Scope of Work(Attachment A) in support of the work of the CCPC. Funding for
<br /> this agreement is contingent upon completion of all required responsibilities (See Sections 2 and
<br /> 3 below) in a manner that is both timely and in compliance with the terms of the Agreement.
<br /> II. COUNTY SUPERINTENDENT'S RESPONSIBILITIES
<br /> It is agreed between the County Superintendent and the City as follows:
<br /> 1. Term of Agreement
<br /> The term of this Agreement shall be from September 16, 2013 to March 14, 2014.
<br /> 2. Payments
<br /> The County Superintendent shall issue payment to the City in an amount not to exceed
<br /> eighteen thousand, three hundred and seventy five dollars and sixty cents ($18,375.60) for
<br /> the Services (personnel costs $17,175.60 and other expenses of$1,200). Personnel costs are
<br /> charged at $55.05 hourly for 312 hours (equivalent to .3 FTE for 26 weeks). Payments will
<br /> be made to City on a quarterly basis for actual expenditures and be based upon invoices
<br /> submitted to the County Superintendent by City and in accordance with the Budget
<br /> (Attachment B). Ar_y change in this agreement will occur only upon mutual written
<br /> agreement of both Parties.
<br /> 3. Hold Harmless
<br /> The County Superintendent shall defend, indemnify, and save harmless the City, its council,
<br /> boards, commissions, officers, employees and agents, from and against any and all claims,
<br /> suits, actions liability, loss, damage, expense, cost (including, costs and fees of litigation) of
<br /> every nature, kind or description, which may be brought against, or suffered or sustained by
<br /> City, its council, boards, commissions, officers, employees or agents to the extent such
<br /> claims, suits, actions, liability, loss, damage, expense, cost (including costs and fees of
<br /> litigation) of every nature, kind or description which may be brought against, or suffered or
<br /> sustained by City, its council, boards, commissions, officers, employees or agents are caused
<br /> by the negligent act or omission, intentional tortious act or omission, or willful misconduct of
