ORIGINAL LICENSE AGREEMENT BETWEEN THE CITY OF REDWOOD CITY AND FOX THEATER PROPERTY LLC H S LICENSE AGREEMENT ("Agreement") is entered into as � day of , 013 (the "Effective Date"), by and between THE CITY OF REDWOOD CITY, a c a er ity and municipal corporation of the State of California ("CITY"), and, FOX THEATER PROPERTY LLC, a California limited liability company ("LICENSOR"). RECITALS A. LICENSOR owns real property located at APN #052-365-080, Redwood City, California, as depicted in Exhibit A, attached hereto and incorporated herein by reference ("Property„). B. CITY would like to obtain a temporary license to make six (6) parking spaces available to the general public for public parking purposes. C. LICENSOR is willing to provide to CITY a license to use its property to provide six parking spaces for general public parking use, subject to the, the terms set forth herein. AGREEMENT NOW, THEREFORE, for good and valuable consideration, receipt of which is hereby acknowledged, the parties agree as follows: 1. Grant of License. LICENSOR hereby grants to CITY, and CITY hereby accepts from LICENSOR the right, privilege, and permission to use the six (6) parking spaces described in Exhibit B (the "License Area") for use by the general public for public parking purposes, and for no other purpose. 2. License Fee. As consideration for the grant of the license, CITY shall pay LICENSOR FOUR HUNDRED FIFTY DOLLARS ($450.00) per month ("License Fee"). Each monthly installment of the �icense Fee shall be payable in advance, on or before the first day of each month commencing on the Commencement Date. The License Fee shall be payable to LICENSOR at the address set forth in Section 11 below or at such other address as LICENSOR may from time to time designate in writing. 3. Term of License. The term of this License Agreement shall commence on November 1, 2013, and shall expire on October 31, 2015, unless sooner terminated as provided in Section 7, below. 4. Use. CITY shall use the License Area only for vehicle parking use by the public during weekday evenings beginning at 6:00 p.m. and ending at 2:00 a.m., seven (7) days a week. CITY shall not use the License Area at any other time without first obtaining LICENSOR's written consent. 5. Alterations. No alterations (including temporary or permanent structures, changes and/or additions) shall be made to the License Area without the prior written consent of LICENSOR and, if such consent is secured, all such alterations shall be made in accordance with all applicable laws, in a good and workmanlike manner, and at the sole cost and expense R ATTY/AGR/2013.212/LICENSE AGREEMENT W/FOX THEATER FOR PARKING REV: 11-6-13 VR Page 1 of 5
