u <br /> ����7�1�1�,�. <br /> AGREEMENT <br /> Between <br /> SEQUOIA UNION HIGH SCHOOL DISTRICT <br /> and <br /> REDWOOD CITY 2020,AND THE CITY OF REDWOOD CITY ACTING AS FISCAL AGENT FOR <br /> REDWOOD CITY 2020 � <br /> This Agreement is entered into this l day of ,201�the"Agreement"),by and between <br /> the SEQUOIA UNION HIGH SCHOOL DISTRICT(the"Di rict"),and REDWOOD CITY 2020 <br /> ("Contractor") (a collaboration comprised of eight partners,including City of Redwood, Redwood City <br /> Elementary School District, Sequoia Union High School District,County of San Mateo Health and <br /> Human Services, Sequoia Healthcare District,John W. Gardner Center for Youth and their Communities, <br /> Stanford University,Kaiser Permanente,and First 5 of San Mateo County)and the CTTY OF <br /> REDWOOD Acting as Fiscal Agent for Redwood City 2020. Collectively District,Redwood City 2020, <br /> and City are hereinafter refened to as,the"Parties". <br /> In consideration of the payments hereinafter set forth,Contractor shall perform services for the District in <br /> accordance with the terms,conditions and specifications set forth herein. <br /> NOW TI�REFORE,the Parties do mutually agree as follows: <br /> 1. Contractor agrees to provide administra.tive and counseling services. Specifically, Contractor <br /> will perform the following: <br /> a. SAFE Program-Provide administrative and counseling services in the Teen Resource Center <br /> during 2013/14 school year as determined by the SAFE Sequoia Steering Committee. <br /> 2. Contractor agrees to perform all the services in this Agreement at the rate of$10,000 per year,not to <br /> exceed$10,000 for the term of this Agreement. <br /> 3. Contractor sha11 submit a monthly invoice to the District for services rendered under this Agreement <br /> no later than the l Oth day of the succeeding month. The invoice sha11 be submitted to the SAFE <br /> Coordinator,Evelyn Valencia,and shall set forth the date that services were performed,the amount of <br /> time expended by Contractor on each matter,and a specific description of the services performed. <br /> 4. It is expressly understood that Contractor is an independent contractor and no agency,employment, <br /> partnership,j oint venture or other relationship is established,or is intended by this Agreement. <br /> 5. Contractor agrees to defend, save hannless,and indemnify District and its officers and employees, <br /> from any and all claims for injuries or damages to persons and/or property which arise out of the terms <br /> and conditions of this Agreement,and which result from the negligent acts or omissions of Contractor, <br /> [his/her/its]officers and/or employees. <br /> 6. Contractor agrees that,during the term of this Agreement,Contractor sha11 have such Bodily Injury, <br /> Liability,and Property Damage Liability Insurance as shall protect [him/her/it] while performing work <br /> covered by this Agreement from claims for damages for bodily injury,including accidental death,as well <br /> as claims for property damage which may arise from Contractor's performance of services under this <br /> Agreement. <br /> 7. The Parties agree that,in the absence of the prior written consent of the Assistant Superintendent of <br /> Administrative Services,Contractor sha11 not assign or subcontract this Agreement,either in whole or in <br /> part. <br /> ATTY/AGR.2013.192/SAFE Sequoia Funding <br />
