("Consultant"). RECITA�S A. Gity requires #he professionai services of an on-call engineering semce for development review, permitting and inspection. B. Consultant has the necessary experience in providing pra#essionai senrices and advice. C. Select�on of Consultant is e�ected to achieve the desired results in an expedited fashion. D. Consultant has submitted a proposal to City and has �rmed its willingness and ability to perform such work. NC)W, THEREFORE, in consideration of these recitals and the mutual covenants contained herein,the Parties agree�s foltows: 1. ScoQe of Work. City retains Consultant to pecforrn, and Cansultan# agress ta render, those servl�es (the "Services") that are defined in attached Exhibit "A," which is incorporated herein by reference. In the event af a conflict between the provisions of Exhibit "A" and the terms of this Agreement, the #erms of this Agreement shall prevail. City shall have the right to modify the scope of work to delete tasks in whole or in part. 2. Sta�ard of Pe►farmance. While perFarming the Services, Consultant will exercise the reasonable professional care and sk+ll customarily exercised by reputable members of Consultant's profession prac#icing in the urban Northem Galifamia Area, and will use reasonable diligence and best judgment while exercising its professional skill and expertise. 3. Term. Unless earlier terminated, the term of this Agreement will be effective for a period of one year from the date first above written. The City Manager may amend the Agreement to extend it for an additional one year period in an amount no#to exceed ten percent of the amount authorized by this agreement. Extensions will be based upon a sa#isfactory review of Gonsultant's performance, City needs, and appropriation of funds by the City.
